Contract Eligibility Criteria. On and as of the Borrowing Date, each of the representations and warranties set forth in Schedule B hereto is true and correct (except to the extent that such representations and warranties relate solely to a Cut-off Date, in which case such representations and warranties shall be true and correct as of such Cut-off Date) for all Contracts pledged by Borrower to Lender under the Security Agreement on such date and no such Contract is an Ineligible Contract. No Contract was originated in any jurisdiction in which Borrower is required to be licensed in order to own such Contract and such license has not been obtained prior to Borrower owning such Contract. With respect to each Contract, the applicable Dealer has either been paid or received credit from Originator for all proceeds from the sale of such Contract to Originator.

In case at any time the Trustee shall cease to be eligible in accordance with the provisions of this Section, the Trustee shall resign immediately in the manner and with the effect specified in Section 8.08.
