Contractor Authorization. Contractor has the authority to enter into and perform its obligations under this Agreement. The board of directors of Contractor (or the shareholders, if necessary) have taken all actions required by law, its articles of incorporation, its bylaws or otherwise to authorize the execution of this Agreement. The persons signing this Agreement on behalf of Contractor represent and warrant that they have authority to do so. This Agreement constitutes the legal, valid and binding obligation of the Contractor.

The Persons signing this Agreement on behalf of Contractor have authority to do so. Contractor shall authorize one (1) employee for the City as a single point of contact for issues arising under this Agreement, and Contractor acknowledges and agrees that City may expect and assume that this employee’s actions are taken on behalf of and with the full approval of Contractor.
