Contractor’s Rig. (a) The Rig shall be capable of operating in the Area of Operations in an efficient and safe manner, and in conformity with all applicable laws and the requirements of all relevant Governmental Authorities, in water depths of up to 12,000 feet and of drilling to a measured depth of 40,000 feet. At the Term Commencement Date, and throughout the term of this Drilling Contract, Contractor warrants that the Rig shall: (i) comply with the Specifications; (ii) be registered under the flag of the Flag State and in the ownership of Contractor or any of its Affiliates; (iii) be classed by ABS and certified “DPS-3” “A1E” without any recommendations or conditions affecting her class; (iv) be maintained by Contractor with original equipment manufacturer parts or other spare parts as approved by Contractor’s engineering department; (v) be tight, staunch, and strong; and be in thoroughly efficient order and condition, and in every way fit, equipped and supplied for deepwater drilling operations and the uses and services contemplated in this Drilling Contract, with her machinery, pumps, and navigational equipment fully functional and in good working order and condition; (vi) have a full complement of marine crew and drilling personnel for a rig of her type and capabilities, in the number required by the laws of all applicable Governmental Authorities, and who shall have the knowledge, skills and abilities and who shall all be trained to operate the Rig and her equipment competently and safely and in accordance with Good Industry Practices; and (vii) shall have on board all certificates, documents, approvals, permits, permissions and equipment required by ABS and any Governmental Authority as may be necessary to enable her to carry out all required operations under this Drilling Contract without delay or hindrance. (b) In performing the Work, Contractor shall utilize the Rig and the Rig shall be furnished in good condition for performance of the Work in accordance with the Management System at the time of commencement of operations hereunder and throughout the term of this Drilling Contract. If Contractor fails to provide the Rig in compliance with the requirements of this Drilling Contract, Contractor will be in default of this Drilling Contract, and Operator may exercise all contractual remedies pursuant to Article XIII. Contractor’s Rig a. The Rig shall be capable of operating in the Gulf of Mexico, OCS, in conformity with the requirements of the U.S. Coast Guard, in water depths up to 8,500 feet and of drilling to a measured depth of 35,000 feet, and shall be certified “ABS Maltese Cross, DP-2” by the American Bureau of Shipping (“ABS”). Contractor shall maintain its Rig with OEM or other spare parts as approved by Contractor’s Engineering Department. b. In performing the Work, Contractor shall utilize the Rig and the Rig shall be furnished in good condition for performance of the Work in accordance with Good Industry Practices at the time of commencement of operations hereunder and during the term of the Drilling Contract. Unless otherwise specifically set forth in this Drilling Contract, nothing in this paragraph or elsewhere herein shall be deemed an express or implied warranty for fitness, suitability or merchantability.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work.   • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. A Contractor’s “Representative” is also broadly defined to include any subcontractors, employees, agents, or anyone else who acts on a Contractor’s behalf.

  • Vendor’s Subcontractors TIPS recognizes that many vendors operate in the open market through the use of subcontractors. For that reason, TIPS permits Vendor to utilize subcontractors as authorized and permitted by the TIPS Member Customer. However, all purchase documents must include: (1) Vendor’s Name, as known to TIPS, and; (2) Vendor’s TIPS Contract Name and Number under which it is making the TIPS Sale. Vendor must report the sale pursuant to the terms herein and Vendor agrees that it is legally responsible for all reporting and fee payment as described herein for TIPS Sales even when subcontractors are utilized. The TIPS Administration Fee is assessed on the amount paid by the TIPS Member to Vendor. The Parties intend that Vendor shall be responsible and for actions of subcontractors during a TIPS Sale. Vendor agrees that it is voluntarily authorizing subcontractors and in doing so, Xxxxxx agrees that it is doing so at its own risk and agrees to protect, indemnify, and hold TIPS harmless in accordance with Sections 14-17 above related to subcontractor TIPS Sales made pursuant to this Agreement or purporting to be made pursuant to this Agreement that may be asserted against Vendor whether rightfully brought or otherwise. The Parties further agree that it is no defense to Vendor’s breach of this Agreement that a subcontractor caused Vendor of breach this Agreement.

  • Sub-Contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Subcontractors’ Insurance If a part of the Agreement is to be sublet, the Consulting Engineer/Architect shall either: a. Cover all subcontractors in its insurance policies, or b. Require each subcontractor not so covered to secure insurance which will protect subcontractor against all applicable hazards or risks of loss as and in the minimum amounts designated. Whichever option is chosen, Consulting Engineer/Architect shall indemnify and hold harmless the City as to any and all damages, claims or losses, including attorney's fees, arising out of the acts or omissions of its subcontractors.

  • Subcontractor Any vendor, subcontractor or other Person that is not responsible for the overall servicing (as “servicing” is commonly understood by participants in the mortgage-backed securities market) of Mortgage Loans but performs one or more discrete functions identified in Item 1122(d) of Regulation AB with respect to Mortgage Loans under the direction or authority of the Servicer or a Subservicer.

  • Contractor’s Employees Contractor may, in its discretion and at its own expense, employ such assistants as Contractor deems necessary to perform the Services. If any specific employee is designated in Schedule 1 to perform the Services, Contractor may only replace such designated employee with SMUD’s prior written approval, and with a replacement satisfactory to SMUD. SMUD may not control, direct, or supervise Contractor or Contractor’s Representatives in the performance of the Services. Contractor agrees to assume full responsibility for the payment and deduction of all state and federal taxes and benefits from Contractor’s Representatives, including but not limited to any applicable payroll and income taxes, unemployment insurance, disability insurance, retirement, workers’ compensation, pension, or other social security benefits for all persons or entities employed or retained by Contractor in the performance of the Services under this Agreement, and if applicable for all self-employment and other taxes incurred by Contractor in the performance of the Services.

  • Contractor’s Records The Contractor shall keep true and accurate accounts, records, books and data which shall correctly reflect the business transacted by the Contractor in accordance with generally accepted accounting principles. These records shall be stored in Orange County for a period of three (3) years after final payment is received from the County. Storage of records in another county will require written approval from the County of Orange assigned Deputy Purchasing Agent.

  • Contractor’s Staff 1. The Contractor shall maintain adequate staff to meet the Contractor’s obligations under this Agreement. 2. This staff shall be available to the State for training and meetings which the State may find necessary from time to time.

  • Contractor’s Remedies If the State is in breach of any provision of this Contract and does not cure such breach, Contractor, following the notice and cure period in §14.B and the dispute resolution process in §16 shall have all remedies available at law and equity. If a Purchasing Entity is in breach of a provision of an Order, Contractor shall have all remedies available to it under that Order and available at law and equity.
