Contribution NoticesThe Borrower shall promptly provide a written notice to the Issuing Lender upon any (i) receipt of the First Required Additional Contribution, (ii) receipt of the Second Required Additional Contribution and the Third Required Additional Contribution, (iii) receipt of the Fourth Required Additional Contribution and (iv) receipt of the Fifth Required Additional Contribution, and any such notice shall include the dates on which such contributions were received by the Borrower.
Contribution Notices. ‌ 6.3.1 If:‌ (a) at 11 a.m. on the date falling 4 Business Days (or, in respect of principal and unless otherwise agreed between the Company and the relevant Authority, 8 Business Days) prior to a day on which a payment is due under the Finance Company Documents, sufficient funds have not been received by the Finance Company from (i) one or more lenders under Liquidity Facility Agreement(s) or (ii) one or more Lending Authorities or lenders or other providers of financial accommodation, in each case, under Finance Company Document(s), in each case to enable it to pay such amounts falling due under the Finance Company Documents, the Company shall; or‌ (b) at any other time the Company is aware that the Finance Company expects to be unable to pay, or does fail to pay, any amount when due under the Finance Company Documents, the Company shall; or‌ (c) on any date after the Funding Date on which an amount due by an Authority pursuant to Clause 6.1 above remains unpaid by the relevant Authority (notwithstanding that the Finance Company has sufficient funds to enable it to make all payments of amounts due under the Finance Company Documents), the Company may,‌ notify each Authority (other than any Defaulting Authority) from which an Authority Contribution is required as soon as reasonably practicable (or, in the case of paragraph (a) above, by 5 p.m. on such date). Such notice (a "Contribution Notice") shall specify the Shortfall Amount and shall set out the Authority Contribution required from each Authority which is not a Defaulting Authority. 6.3.2 Each Authority shall ensure that it pays an amount equal to its Authority Contribution to the Company no later than 11 a.m. on the date specified in the Contribution Notice, such date to be at least 2 Business Days (or, in respect of principal and unless otherwise agreed between the Company and the relevant Authority, 4 Business Days) after the date of the Contribution Notice. 6.3.3 In the event that any Authority fails to pay an amount equal to its Authority Contribution (including any further Authority Contribution) pursuant to Clause‌ 6.3.2 by 11 a.m. on the date such amount is due under this Agreement, that Authority shall be a "Failed Contribution Authority" and, unless the Company elects otherwise, which it shall only be entitled to do if the Finance Company has obtained other funds (from (i) one or more lender(s) under Liquidity Facility Agreement(s) or (ii) one or more Lending Authorities or lenders or othe...
Contribution NoticesThe Company is not nor has been a party to (or connected with a party to) any act or failure where the main purpose or one of the main purposes of that act or failure was: 14.1 to prevent the recovery of the whole or any part of a debt which was, or might become, due from an employer in relation to an occupational pension scheme under s.75 Xxxxxxxx Xxx 0000; or 14.2 otherwise than in good faith, to prevent such a debt becoming due or to reduce the amount of such a debt which was or would otherwise become due.

  • Termination Notices If at any time prior to 5:00 p.m. (Eastern time) on June 29, 2016 (the “Property Approval Period”), the Title Company receives a notice from Purchaser that Purchaser has exercised its termination right under Section 5.4, the Title Company, within three (3) Business Days after the receipt of such notice, will deliver the Xxxxxxx Money Deposit to Purchaser. If at any time, except as provided in the preceding sentence, the Title Company receives a certificate of either Sellers or of Purchaser (for purposes of this Section 4.6, the “Certifying Party”) stating that: (a) the Certifying Party is entitled to receive the Xxxxxxx Money Deposit pursuant to the terms of this Agreement, and (b) a copy of the certificate was delivered as provided herein to the other party (for purposes of this Section 4.6, the “Other Party”) prior to or contemporaneously with the giving of such certificate to the Title Company, then, the Title Company shall notify the Other Party in writing of the Title Company’s receipt of such certificate. Unless the Title Company has then previously received, or receives within five (5) Business Days after such written notification to the Other Party of the Title Company’s receipt of the Certifying Party’s certificate, contrary instructions from the Other Party, the Title Company, within one (1) Business Day after the expiration of the foregoing five (5) Business Day period, will deliver the Xxxxxxx Money Deposit to the Certifying Party, and thereupon the Title Company will be discharged and released from any and all liability hereunder. If the Title Company receives contrary instructions from the Other Party within five (5) Business Days following such written notification to the Other Party of the Title Company’s receipt of said certificate, the Title Company will not so deliver the Xxxxxxx Money Deposit, but will continue to hold the same pursuant hereto, subject to Section 4.7.

  • Collection Notices The Collateral Agent is authorized at any time after the occurrence and during the continuance of an Amortization Event to date and to deliver to the Collection Banks the Collection Notices. Seller hereby transfers to the Collateral Agent for the benefit of the Purchasers, effective when the Collateral Agent delivers such notice, the exclusive ownership and control of each Lock-Box and the Collection Accounts. In case any authorized signatory of Seller whose signature appears on a Collection Account Agreement shall cease to have such authority before the delivery of such notice, such Collection Notice shall nevertheless be valid as if such authority had remained in force. After the occurrence and during the continuance of an Amortization Event, Seller hereby authorizes the Collateral Agent, and agrees that the Collateral Agent shall be entitled, to (i) endorse Seller’s name on checks and other instruments representing Collections and (ii) take such action as shall be necessary or desirable to cause all cash, checks and other instruments constituting Collections of Receivables to come into the possession of the Collateral Agent rather than Seller. Following the Amortization Date, Seller hereby authorizes the Collateral Agent, and agrees that the Collateral Agent shall be entitled, to enforce the Receivables, the related Contracts and the Related Security.

  • UNION NOTICES Space shall be provided in each Meat Department for the posting of this Agreement and notices of meetings, but same shall not be posted until they have been first called to the attention of the Employer.

  • Contribution Deadline The deadline for making an IRA contribution is your tax return due date (not including extensions). You may designate a contribution as a contribution for the preceding taxable year in a manner acceptable to us. For example, if you are a calendar year taxpayer, and you make your IRA contribution on or before April 15, your contribution is considered to have been made for the previous tax year if you designate it as such. If you are a member of the Armed Forces serving in a combat zone, hazardous duty area, or contingency operation, you may have an extended contribution deadline of 180 days after the last day served in the area. In addition, your contribution deadline for a particular tax year is also extended by the number of days that remained to file that year’s tax return as of the date you entered the combat zone. This additional extension to make your IRA contribution cannot exceed the number of days between January 1 and your tax filing deadline, not including extensions.

  • Additional Contributions The Member is not required to make any additional capital contribution to the Company. However, the Member may at any time make additional capital contributions to the Company in cash or other property.

  • Allocation of Contributions You may place your contributions in one fund or in any combination of funds, although your employer may place restrictions on investment in certain funds.

  • Initial Contributions The Members initially shall contribute to the Company capital as described in Schedule 2 attached to this Agreement.

  • Contribution Payment To the extent the indemnification provided for under any provision of this Agreement is determined (in the manner hereinabove provided) not to be permitted under applicable law, the Company, in lieu of indemnifying Indemnitee, shall, to the extent permitted by law, contribute to the amount of any and all Indemnifiable Liabilities incurred or paid by Indemnitee for which such indemnification is not permitted. The amount the Company contributes shall be in such proportion as is appropriate to reflect the relative fault of Indemnitee, on the one hand, and of the Company and any and all other parties (including officers and directors of the Company other than Indemnitee) who may be at fault (collectively, including the Company, the "Third Parties"), on the other hand.
