Contribution of the Interests. Subject to the terms and conditions of this Agreement, Insignia hereby assigns and delivers to the Trust all of its right, title and interest in and to the Interests in exchange for the aggregate number of Shares indicated on Schedule A hereto, such Shares to be allocated among the various Interests as indicated on Schedule A.
Contribution of the Interests. Subject to the terms and conditions of this Agreement, on the date hereof (the "CLOSING DATE"), IPT shall assign and deliver to the Partnership as a Capital Contribution (as defined in the Second Amended and Restated Agreement of Limited Partnership of Insignia Properties, L.P. (the "PARTNERSHIP AGREEMENT")) all of its right, title and interest in and to the Interests in exchange for the aggregate number of GP Units indicated on Schedule A hereto, such GP Units to be allocated among the various Interests as indicated on Schedule A.
Contribution of the Interests. The Assignor hereby CONTRIBUTES, CONVEYS, TRANSFERS, ASSIGNS AND DELIVERS unto the Assignee and its successors and assigns, and the Assignee hereby receives and accepts, all of the Assignor’s right, title and interest in and to the Interests.
Contribution of the Interests. Simultaneously with the Parties’ execution and delivery of this Agreement, (a) the Contributor has contributed, transferred, conveyed and delivered to Xxxxxx Midstream, LLC, a Delaware limited liability company and the Subsidiary designated by the Partnership to hold the Interests (“Xxxxxx Midstream”), all of the Interests, free and clear of all Liens (other than Permitted Liens of the type set forth in parts (h)-(i) of such definition), in exchange for the consideration set forth in Section 2.2 and (b) the Partnership has acquired, assumed and accepted the Interests.
Contribution of the Interests. Subject to the terms and conditions hereof, each Contributor agrees to contribute or otherwise transfer to the Operating Partnership, and the Operating Partnership agrees to acquire and accept from such Contributor, on the Closing Date (as hereinafter defined), all of such Contributor’s right, title and interest in and to the Interests listed as owned by such Contributor on Exhibit B hereto.
Contribution of the Interests. Effective as of the date first set forth above (the “Contribution Date”), GECC hereby transfers to HoldCo all of its rights, title and interests in, to and under the Interests in exchange for shares of HoldCo stock as set forth in Section 2 (the “Contribution”).
Contribution of the Interests. Notwithstanding any provision in the Company Agreement to the contrary, in consideration of the OP Unit Consideration granted to Contributor concurrently with the execution of this Contribution Agreement, Contributor hereby contributes the Interests to Contributee.
Contribution of the Interests. At the Closing, upon the terms and subject to the conditions set forth in this Agreement, the Contributing Parties shall contribute, assign, transfer and convey (or cause to be contributed, assigned, transferred and conveyed) to the Operating Partnership, and the Operating Partnership shall accept contribution of, the Interests pursuant to the Interest Conveyance Agreement and in accordance with Section 2.4.
Contribution of the Interests. GECFI hereby transfers to RF HoldCo, as a contribution to the capital of RF HoldCo, all of its rights, title and interests in, to and under the Interests (the “Contribution”). RF HoldCo hereby acknowledges receipt of and accepts the Contribution.
