Control of the Stations Sample Clauses

Control of the Stations. Prior to any Closing, Buyer shall not, directly or indirectly, control, supervise or direct, or attempt to control, supervise or direct, the operations of the Stations; those operations, including complete control and supervision of all of each Stations' programs, employees and policies, shall be the sole responsibility of Seller.

Control of the Stations. Prior to Closing, neither party shall, directly or indirectly, control, supervise, or direct, or attempt to control, supervise or direct the operations of the other party's Stations; those operations, including complete control and supervision of all Station programs, employees, and policies, shall be the sole responsibility of the Station's licensee.

Control of the Stations. Prior to the Closing Date, control of the Stations (including, without limitation, control over their finances, personnel and programming) shall remain with the Company or Gannett, as the case may be. The Company and Purchaser acknowledge and agree that neither Purchaser nor any of its employees, agents or representatives, directly or indirectly, shall, or shall have any right to, control, direct or otherwise supervise the Stations, it being understood that supervision of all programs, equipment, operations and other activities of the Stations shall be the sole responsibility of, and at all times prior to the Closing Date remain under the complete control and direction of, the Company or, if prior to the closing under the Gannett Purchase Agreement, Gannett.

Control of the Stations. Prior to the Closing Date, Buyer shall not, directly or indirectly, control, supervise or direct or attempt to control, supervise or direct, the operation of the Stations.

Control of the Stations. Nothing contained in this Agreement shall give Buyer any right from this date forward or at any time thereafter to control the operations of any Station, and Seller shall have complete control of the operations, consistent with, and subject to, the provisions of any applicable TBA.

Control of the Stations. The purchase and sale transactions contemplated by this Agreement shall not be consummated until the Closing Date. Between the Execution Date and the Closing Date, Buyer, its employees or its agents, shall not directly or indirectly control, supervise or direct or attempt to control, supervise or direct the operation of the Stations, but such operation will be the sole responsibility and in the complete discretion of Seller. Until the Closing Date, Buyer’s interest in the Stations is limited to its rights under this Agreement and the Assignment Application.

Control of the Stations. (a) Prior to the Closing, Heftel shall not, directly or indirectly, control, or attempt to control, the operations of the Z-Spanish Station; such operations, including complete control and supervision of all programs, employees and policies of the Z-Spanish Station, shall be the sole responsibility of Z-Spanish. (b) Prior to the Closing, Z-Spanish shall not, directly or indirectly, control, or attempt to control, the operations of the Heftel Station; such operations, including complete control and supervision of all programs, employees and policies of the Heftel Station, shall be the sole responsibility of Heftel.

Control of the Stations. Prior to the Closing Date, Evergreen ------- -------- shall not directly or indirectly control, or attempt to control, the operations of the Stations.

Control of the Stations. Prior to the Closing, Purchaser shall not, directly or indirectly, control, supervise, direct, or attempt to control, supervise, or direct, the operations of the Stations; such operations, including complete control and supervision of all of the Stations programs, employees, and policies, shall be the sole responsibility of Seller until the Closing. However, Purchaser may operate the Stations pursuant to the Time Brokerage Agreement.

Control of the Stations. The operations, including the complete control and supervision of all of the Stations' programs, employees and policies, shall be the sole responsibility of Debtors until the completion of the Closing hereunder. The Time Purchase Agreement by and between Debtors and Purchaser whereby Purchaser is providing programming services to the Stations gives to Purchaser no rights to participate in the management, supervision or control of the Stations, and notwithstanding any other provision of this Agreement, Purchaser shall not, directly or indirectly, control, supervise or manage the operation of the Stations prior to the Closing.
