CONTROLLING TERMS AND CONDITIONS. The terms and conditions of this Contract shall be the exclusive terms of agreement between the Contractor and the University. All quotations requested and received from the Contractor are for obtaining firm pricing only. Other terms and conditions or additional terms and conditions included or referenced in the Contractor's quotations, invoices, business forms, or other documentation shall not become part of the parties’ agreement and shall be disregarded by the parties, unenforceable by the Contractor and not binding on the University unless specifically referenced as being incorporated into this Contract. In the event attachments containing additional terms are incorporated as part of this Contract, the terms and conditions herein shall control and prevail over any such attachments, regardless of any language contained therein to the contrary

In the event of any inconsistency between the terms, conditions, exceptions and exclusions of this Section 10 (with respect to the subject matter hereof) and any of the other terms, conditions, exceptions and exclusions of this Agreement, the terms, conditions, exceptions and exclusions of this Section 10 shall control.

CONTROLLING TERMS AND CONDITIONS. This Agreement shall govern the sale of the Products to Buyer. If Buyer submits any other document that contains terms and conditions which are inconsistent with or in addition to this Agreement then any such term or condition shall not alter these Terms and Conditions or be part of this contract unless expressly accepted or agreed to by Seller in writing. The sale is expressly conditioned upon Buyer’s acceptance of this Agreement.
CONTROLLING TERMS AND CONDITIONS. The parties agree that the terms and conditions of this Agreement, including this ARTICLE III, shall control the supply of CUT Female Product hereunder, and that the terms and conditions of any purchase order or form of acceptance exchanged by the parties with respect to the supply of CUT Female Product by Palomar to Xxxxxxxx, shall not apply thereto.
CONTROLLING TERMS AND CONDITIONS. If you sign the Contract or otherwise agree to its terms in writing, the Contract will constitute the entire agreement between you and us with respect to the sale of the Material and will supersede any prior agreements, written or oral, between you and us. If the Contract is a confirmation of a verbal agreement between you and us, you must notify us immediately if any provision of the Contract does not conform to your understanding of the oral agreement. You also agree to provide us with a written objection to any unacceptable terms within ten days of your receipt of the Contract. If you have previously agreed to be bound by the Standard Terms and Conditions, you are not entitled to object to any of those terms and conditions and you will be bound by them even though the other terms were agreed upon orally and confirmed by the Contract. Your failure to return a signed copy of the Contract or object to its contents will not excuse you from liability under the Contract. We object to and are not bound by any term or condition on your offer, sales order, expression of acceptance, confirmation or any other communication which is different from, inconsistent with, or in addition to the terms and conditions in the Contract and any such terms and conditions proposed by you are hereby expressly rejected. Your shipments shall constitute an unqualified and unconditional assent to the terms and conditions of the Contract. Our acceptance of or payment for the Material shall not constitute acceptance of or agreement to any provision of your offer, expression of acceptance, confirmation, or any other communication from you to us which is different from, inconsistent with, or in addition to the terms and conditions of the Contract.

Vendor agrees that any terms or conditions contained in any acknowledgment, invoice or other form issued by Vendor shall not be binding on GTSI to the extent that such terms and conditions are additional to or inconsistent with those contained in this Agreement, and no act of GTSI other than an express agreement in writing shall be deemed an acceptance of any such term or condition.
