Conversion; Merger Consideration. (a) At the Effective Time, by virtue of the Merger and without any action on the part of Parent, Merger Sub or the Company, (i) each share of Company Preferred Stock, (ii) each share of Company Common Stock, and (iii) each unexercised Company Stock Option (whether or not vested), shall thereupon be converted into and become the right to receive the applicable portion of the Merger Consideration, as determined pursuant to Sections 2.1(c), 2.1(d), and 2.1(e), respectively.
Conversion; Merger Consideration. The total consideration (the "Merger Consideration") to be paid by Insituform for the issued and outstanding shares (the "Xxxxxx Shares") of common stock, par value $.10 per share, of Xxxxxx ("Xxxxxx Common Stock") and the issued and outstanding shares ("Tracks Shares", collectively with the Xxxxxx Shares, the "Company Shares") of common stock, par value $1.00 per share, of Tracks ("Tracks Common Stock") is $15,350,000 in a combination of cash and promissory notes in substantially the form set forth in Exhibit 2.7 ("Cash Equivalent Consideration") and $64,650,000 in Insituform Class A common shares, par value $.01 per share ("Insituform Common Stock"), payable and valued as set forth in this Section 2.7; provided, however, such $64,650,000 in Insituform Common Stock may be adjusted as provided in Section 2.7(c). The Insituform Common Stock issued pursuant to the Xxxxxx Merger and the Tracks Merger is referred to herein collectively as the "Insituform Shares." For purposes of allocating the Merger Consideration, 97.5% of the Merger Consideration shall be attributed to the Xxxxxx Shares and 2.5% shall be attributed to the Tracks Shares (collectively, the "Allocation Percentages"). For purposes of determining the Xxxxxx Exchange Ratio (as defined hereafter) and the Tracks Exchange Ratio (as defined hereafter), the ratios, unless otherwise adjusted in accordance with Section 2.7(c), shall be based on the issuance of a total of 1,847,143 shares of Insituform Common Stock valued as of Closing at $35 per share.
Conversion; Merger Consideration. At the Effective Time of the Merger, each share of the Greixxx Xxxmon Stock issued and outstanding immediately prior to the Effective Time of the Merger shall, by virtue of the Merger, and without any action on the part of the holder thereof, be converted into the right to receive (i) 0.298 shares of the URS Common Stock, and (ii) $13.50 in cash, all of which shall be payable upon the surrender of the certificate(s) formerly representing such shares of Greixxx Xxxmon Stock. At the Effective Time, all of the Shares shall cease to be outstanding, shall be cancelled and shall cease to exist, and each certificate, whether physical or electronic (other than, for the avoidance of doubt, book-entry) (each, a “Certificate”) formerly representing any of the Shares, and each Share held in uncertificated form, in each case other than Excluded Shares, shall thereafter represent only the right to receive the Per Share Consideration and the right, if any, to receive pursuant to Section 3.3(e) cash in lieu of fractional shares into which such Shares have been converted pursuant to this Section 3.2(a) and any distribution or dividend pursuant to Section 3.3(c) and each Certificate and Share held in uncertificated form owned by Dissenting Stockholders shall thereafter represent only the right to receive the payment of which reference is made in Section 3.4.

  • Adjustment of Merger Consideration If, subsequent to the date of this Agreement but prior to the Effective Time, the outstanding shares of Common Stock shall have been changed into a different number of shares or a different class as a result of a stock split, reverse stock split, stock dividend, subdivision, reclassification, split, combination, exchange, recapitalization or other similar transaction, the Merger Consideration shall be appropriately adjusted.

  • Adjustment to Merger Consideration The Merger Consideration shall be adjusted appropriately to reflect the effect of any stock split, reverse stock split, stock dividend (including any dividend or distribution of securities convertible into Common Stock), cash dividend, reorganization, recapitalization, reclassification, combination, exchange of shares or other like change with respect to Common Stock occurring on or after the date hereof and prior to the Effective Time.

  • Payment of Merger Consideration (a) As soon as reasonably practicable after the Effective Time, the Surviving Entity (or its successor in interest) shall deliver to each holder of SPE LLC Interests whose SPE LLC Interests have been converted into the right to receive the Merger Consideration pursuant to Section 1.05(b) hereof, the Merger Consideration payable to such holder in the amounts and form provided in Section 1.05(b) hereof. REQUESTS FOR SUCH A COPY MAY BE DIRECTED TO THE SECRETARY OF THE CORPORATION AT ITS PRINCIPAL OFFICE.

  • Conversion of Merger Sub Common Stock At the Effective Time, each share of common stock, par value $0.01 per share, of Merger Sub issued and outstanding immediately prior to the Effective Time shall be converted into one fully paid and nonassessable share of common stock, par value $0.01 per share, of the Surviving Corporation.

  • Deposit of Merger Consideration At or promptly following the Effective Time, Xxxxxxx shall deposit, or shall cause to be deposited, with Computershare, Xxxxxxx’ transfer agent (the “Exchange Agent”), for the benefit of the holders of record of shares of Southwest Common Stock issued and outstanding immediately prior to the Effective Time (the “Holders”), for exchange in accordance with this ARTICLE 3, (i) certificates or evidence of Xxxxxxx Common Stock in book-entry form issuable pursuant to Section 2.1(c) (collectively referred to as “Xxxxxxx Certificates”) for shares of Xxxxxxx Common Stock equal to the aggregate Stock Consideration and (ii) immediately available funds equal to the aggregate Cash Consideration (together with, to the extent then determinable, any cash payable in lieu of fractional shares pursuant to Section 2.6 (collectively, the “Exchange Fund”) and Xxxxxxx shall instruct the Exchange Agent to timely pay the Merger Consideration and cash in lieu of fractional shares, in accordance with this Agreement. The cash portion of the Exchange Fund shall be invested by the Exchange Agent as directed by Xxxxxxx or the Surviving Corporation. Interest and other income on the Exchange Fund shall be the sole and exclusive property of Xxxxxxx and the Surviving Corporation and shall be paid to Xxxxxxx or the Surviving Corporation, as Xxxxxxx directs. No investment of the Exchange Fund shall relieve Xxxxxxx, the Surviving Corporation or the Exchange Agent from making the payments required by this ARTICLE 3 and following any losses from any such investment, Xxxxxxx shall promptly provide additional funds to the Exchange Agent to the extent necessary to satisfy Xxxxxxx’ obligations hereunder for the benefit of the Holders, which additional funds will be deemed to be part of the Exchange Fund.
