Common use of Cooperation and Financial Responsibility Clause in Contracts

Cooperation and Financial Responsibility. (A) Contractor shall, at Contractor’s expense, cooperate fully with HHS in investigating, mitigating to the extent practicable, and issuing notifications as directed by HHS, for any Breach of Confidential Information. (B) Contractor shall make Confidential Information in Contractor’s possession available pursuant to the requirements of HIPAA or other applicable law upon a determination of a Breach. (C) Contractor’s obligation begins at the Discovery of a Breach and continues as long as related activity continues, until all effects of the Breach are mitigated to HHS’s satisfaction (the "incident response period").
