General Responsibilities. Issuer hereby engages Distributor to act as exclusive distributor of the shares of each class of the Funds. The Funds subject to this Agreement as of the date hereof are identified on SCHEDULE A, which may be amended from time to time in accordance with Section 11 below. Sales of a Fund's shares shall be made only to investors residing in those states in which such Fund is registered. After effectiveness of each Fund’s registration statement, Distributor will hold itself available to receive, as agent for the Fund, and will receive by mail, telex, telephone, or such other method as may be agreed upon between Distributor and Issuer, orders for the purchase of Fund shares, and will accept or reject such orders on behalf of the Fund in accordance with the provisions of the applicable Fund’s prospectus. Distributor will be available to transmit orders, as promptly as possible after it accepts such orders, to the Fund’s transfer agent for processing at the shares’ net asset value next determined in accordance with the prospectuses.

A. Provide equitable prevention services and activities in accordance with the rules in Title 26 of the Texas Administrative Code (TAC), Chapter 321, Subchapter A, Texas Administrative Code (xxxxx.xx.xx).
B. Submit Implementation Plans for review and approval by System Agency detailing how all required services and strategies will be implemented locally. The Implementation Plan documents the specific approach that the Grantee will take to complete the grant requirements. The Implementation Plan must be reviewed and approved by System Agency prior to implementation. The Implementation Plan due dates are in accordance with Attachment A-4.

C. Using an approved System Agency program template, the Grantee will submit one Quarterly Report per contract, that includes information for all awarded program type(s). The Grantee will document accomplishments, barriers, good faith efforts to work with under-served populations, and progress towards goals, CSAP strategies, and expenditures categorized by CSAP strategy, during the implementation of programmatic activities in Quarterly Reports due in accordance with the due dates documented in Attachment A-4.
D. Submit one Success Story for each program type using a System Agency- approved template due in accordance with the due dates documented in Attachment A-4. A Success Story is a narrative— usually between one and two pages—highlighting the achievements and progress of a program/activity. A success story can document program improvement over time and demonstrate the value of program activities.
E. Develop policies and procedures as required by 1 TAC § 392.511, Texas Administrative Code (xxxxx.xx.xx) and make them available for inspection by System Agency. Follow the National Standards for Culturally and Linguistically Appropriate Services (CLAS) in Health and Health Care (xxxxx://xxxxxxxxxxxxxxxxxxx.xxx.xxx/clas/standards) and demonstrate good-faith efforts to reach out to under-served populations. Grantee will document any demonstration good faith effort on working with under-served populations in the Quarterly Reports. Underserved Populations include people:

General Responsibilities. 2.1 The Contractor shall:
(a) complete, handover to the Principal, and remedy defects in the Works and provide all services, labour, materials, plant and everything, whether of a temporary or permanent nature required by the Contract;
(b) comply with all proper instructions issued by the Principal in relation to the Contract or the Works;
(c) comply with all applicable statutes, regulations, codes of practice, bylaws of government, local and other public authorities that may be applicable to the Works; and
(d) if stipulated in Schedule 1 – Reference Schedule, on behalf of the Principal obtain all necessary consents producer statements and compliance certificates required by relevant authorities and pay all required consent fees.
2.2 The Contractor shall commence Works on the Commencement Date or as soon as reasonably practicable thereafter, and shall then proceed with the execution of the Works with due diligence.
2.3 The Contractor shall achieve Completion of the Works, by the Completion Date.
2.4 The Contractor shall ensure that the Works (insofar as they include any design responsibility on the part of the Contractor) comply with the Ministry’s property design standards and legal requirements (as amended from time to time) applicable to the Works as more particularly detailed on the Ministry’s website (refer to: xxxxx://xxx.xxxxxxxxx.xxxx.xx/school/property-and- transport/projects-and-design/design/design-standards/).
2.5 Where Schedule 1 – Reference Schedule states that the Contractor must provide a Weathertightness Warranty, the Contractor shall ensure that the Works comply with the weathertightness requirements set out in the document titled “Weathertightness Design Requirements for New School Buildings” (Version 3.0, September 2020) as amended from time to time (refer to xxxxx://xxxxxxxxx.xxxx.xx/assets/Documents/Primary- Secondary/Property/Design/Weathertightness-Design- Requirements-25-September-2020.pdf and shall provide to the Principal prior to Completion a Weathertightness Warranty in the form at Appendix 4.
2.6 Completion is when the Principal certifies that the Works are complete, including the Contractor having provided all warranties, documents and information stated in the Contract as being required for Completion (Completion).
2.7 The Completion Date is subject to adjustment for any extensions of time which may be granted by the Principal.

General Responsibilities. Contractor shall designate in writing a representative who is responsible for the day-to-day management of the Design Services. The designated representative shall be the Owner’s primary contact during the design phase of the Project and shall be available as required for the benefit of the Project and the Owner. The designated representative shall be authorized to act on behalf of and to bind the Contractor in all matters related to Design Services. The designated representative shall not be changed without advance written approval from the Owner, which approval shall not be unreasonably withheld.
General Responsibilities. Subject to the exceptions set forth in Sub-Section C hereof and subject to the direction and control of the Board of Trustees of the Trust, the Manager will provide, or cause to be provided, all services required for the administration of the Trust and the Fund, including fund accounting, shareholder servicing, and transfer agency services.

1. Provide DSHS with current 24/7 contact information for the RAC Chair, Vice-Chair, Executive Director or comparable staff member, and Executive Board members within five business days of any change to the roster;
2. Serve as a point of contact for disseminating communications from DSHS to all Xxxxxxx’s RAC members;
3. Ensure Xxxxxxx’s RAC Chair, Executive Board member, or Executive Director attend all EMS/Trauma Systems Coordination RAC Chair meetings as directed by DSHS. The RAC Chair or an Executive Board member is required to attend mandatory meetings scheduled by DSHS. If the Grantee is unable to have appropriate representation at the required meetings, a waiver request with justification for not meeting this contractual requirement must be submitted in writing to DSHS at least two days prior to the meeting for approval;
4. Submit a list of all board members & executive officers which includes their term in office, if applicable;
5. Submit a “Board Members and Executive Officers Responsibilities Attestation Form” signed by all new members that have not previously signed and submitted a form. The form acknowledges their personal accountability for Contract funds and affirms that they viewed the DSHS online training prior to signing. Members added after the signed Attestation Form is submitted must complete the online training, and submit a completed attestation form within 60 calendar days of assuming office;
6. Respond to all surveys requested by DSHS in the specified time frame and if applicable, on the template provided;
7. Initiate the purchase of all EMS/RAC and RAC Systems Development equipment and supplies defined as Controlled Assets, pre-approved in writing by DSHS, on or before July 1, 2022. Failure to timely initiate the purchase of equipment and Controlled Assets may result in disallowed costs;
8. Maintain and submit annually the cumulative DSHS Contractor’s Property Inventory Report which contains an inventory of equipment, supplies defined as Controlled Assets, and real property. After effectiveness of each Fund's registration statement, Distributor will hold itself available to receive, as agent for the Funds, and will receive, by mail, telex, telephone, and/or such other method as may be agreed upon between Distributor and Issuers, orders for the purchase of Fund shares, and will accept or reject such orders on behalf of the Funds in accordance with the provisions of the applicable Fund's prospectus. Distributor will be available to transmit such orders as are so accepted to the Fund's transfer agent as promptly as possible for processing at the shares' net asset value next determined in accordance with the prospectuses.
General Responsibilities. Grantee will:
1. Employ a Coordinator for the EMTF region who is committed full-time to the EMTF program. EMTF Coordinator must maintain an office within the region they represent and support. EMTF Coordinator will serve as the primary point of contact for the EMTF State Coordinating Organization (“SCO”) and DSHS CHEPR for EMTF deliverables and deployments and must be available after hours and on weekends. The EMTF Coordinator must provide current 24/7 contact information to the EMTF SCO and DSHS CHEPR and notify both of changes as they are made.
2. Provide a progress report on addressing gaps in rostering components listed below. Plan should include coordination/collaboration with adjacent regions, if necessary, to fulfill rostering requirements if unable to do so from within awarded EMTF region. Grantee will also provide a final report later on the resolution of the rostering gaps. The rostering components are as follows:
a. Roster five (5) Ambulance Strike Teams (“ASTs”). An AST is comprised of five (5) staffed ambulances and one (1) staffed command vehicle;
b. Roster and staff each ambulance bus (“AmBus”) located in covered EMTF region(s);
c. Roster a minimum of one (1) Nurse Strike Team (“NST”). An NST is a team of five (5) nurses and one (1) strike team leader;
d. Roster one (1) mobile medical unit (“MMU”), as directed by DSHS; and
e. Roster medical incident support team (“MIST”), ambulance staging manager (“ASM”), and Infectious Disease Response Unit (“IDRU”), as directed by DSHS.
3. Make available rosters and/or list of agreements which demonstrate that the roster requirements described herein have been fulfilled. Agreements should be made available for review and/or submission upon request by DSHS. Participating organizations must have an executed agreement in place in order to be eligible for reimbursement.
4. Each roster component of the EMTF program must participate in a functional, full- scale exercise; or real-world response (participation must be a substantive part of exercise activities or real-world event (utilization of real-world response must be pre- approved by CHEPR)) at least once during the two-year period from July 1, 2019, to June 30, 2021. General Responsibilities. The Service Provider will:
(a) not interfere with the reasonable use of Wholesale Services by the other customers of the LFC or any other network operator;
(b) only use the Wholesale Services for the provision of telecommunications services to Resellers and End Users and for its own internal purposes provided that any Services used for the Service Provider’s internal purposes must not comprise more than 25% of the Services to be supplied by the LFC to the Service Provider in any year, and any other purposes contemplated by this Agreement and, for the avoidance of doubt, not for any purpose that could interfere with or damage the LFC Network; and
(c) not infringe or otherwise diminish any of the LFC’s intellectual property rights in relation to the Wholesale Services.
General Responsibilities. 1. The Owner must abide by current city, county, and stateordinances, laws, and/or regulations pertaining to licensing, vaccination, and other requirements for animals. It is the individual’s responsibility to know and understand these ordinances, laws, and regulations. The University has the right to require documentation of compliance with such ordinances, laws, and/or regulations, which may include a vaccination certificate. The University reserves the right to request documentation showing thatthe animal has been licensed.
2. The Owner is required to clean up after and properly dispose of the animal’s waste in a safe and sanitary manner.
3. The Owner is required to ensure the animal is well cared for at all times. Any evidence of mistreatment or abuse may result in immediate removal of the Assistance Animal and/or discipline for the individual.
4. Lander University will not ask for or require an individual with a disability to pay afee or surcharge for an approved Assistance Animal.
5. An individual with a disability may be charged for any damage caused by his or her Assistance Animal beyond reasonable wear and tear to the same extent that it charges other individuals for damages beyond reasonable wear and tear. The Owner's living accommodations may also be inspected for fleas, ticks or other pests if necessary as part of the University’s standard or routine inspections. If fleas, ticks or other pests are detected through inspection, the residence will be treated using approved fumigation methods by a university-approved pest control service. The Owner will be billed for the expense of any pest treatment above and beyond standard pest management in the residence halls. Theuniversity shall have the right to bill the individual ‘s account for unmet obligations under this provision.
6. The Owner must fully cooperate with University personnel withregard to meeting the terms of this Policy and developing procedures for care of the animal (e.g., cleaning the animal, feeding/watering the animal, designating an outdoor relief area,disposing of feces, etc.).
7. Assistance Animals may not be left overnight in University Housing to be cared for by any individual other than the Owner. If the Owneris to be absent from his/her residence hall overnight or longer, the animal must accompany the Owner.
