Common use of Cooperation of the Parties Clause in Contracts

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights under this Agreement and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like with respect to any Patent Right as well as in registering the licenses granted hereunder with the applicable authorities. Such cooperation includes, but is not limited to: (i) executing all papers and instruments, or requiring its employees or contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 8.1, and to enable the other Party to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this Section 8.2; and (ii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each At the reasonable request of the responsible Party, the other Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights any Patents under this Agreement and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like with respect to any Patent Right as well as in registering the licenses granted hereunder with the applicable authoritiesclaiming an Invention. Such cooperation includes, but is not limited to: : (ia) executing all papers and instruments, or requiring its employees or contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 8.14.1, and Patents claiming such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this Section 8.2country; and and (iib) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights under this Agreement Section 10.3 and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like with respect to any Patent Right as well as in registering the licenses granted hereunder with the applicable authoritiesthereto respectively at its own costs. Such cooperation includes, but is not limited to: (ia) executing all papers and instruments, or requiring its employees or contractors contractors, to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 8.110.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this as permitted by Section 8.210.3; and (iib) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the preparation, filing, prosecution and maintenance of Patent Rights any Patents under this Agreement and in the obtaining and maintenance of any patent term extensions, supplementary protection certificates and the like with respect to any Patent Right as well as claiming a Product being developed or commercialized in registering the licenses granted hereunder accordance with the applicable authoritiesthis Agreement. Such cooperation includes, but is not limited to: : (ia) executing all papers and instruments, or requiring its employees or contractors contractors, to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 8.19.1, and the ownership of Patents as provided in this Agreement, and to enable the other Party party to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this Section 8.2country; and and (iib) promptly informing the other Party party of any matters coming to such Partyparty’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Cooperation of the Parties. Such cooperation includes, but is not limited to: (i) executing all papers and instruments, or requiring its employees or contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint Inventions and Joint Patent Rights set forth in Section 8.17.1, and to enable the other Party Licensor to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this Section 8.27.2; and (ii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.

Such cooperation includes, but is not limited to: (i) executing all papers and instruments, or requiring its employees or contractors to execute such papers and instruments, so as to effectuate the joint ownership of Joint the applicable Inventions and Joint applicable Patent Rights by the applicable Party or Parties as set forth in Section 8.1this Article VII, and to enable the other applicable Party to apply for and to prosecute patent applications in any country in accordance with the foregoing provisions of this Section 8.2Article VII; and (ii) promptly informing the other Party of any matters coming to such Party’s attention that may affect the preparation, filing, prosecution or maintenance of any such patent applications.
