Common use of Cooperation of the Parties Clause in Contracts

Cooperation of the Parties. Each Party agrees to cooperate fully in the Patent Management of any Patent Rights under this Agreement. Such cooperation includes, but is not limited to: (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (b) executing all papers and instruments, or requiring its employees or agents, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth in Section 11.1 and to enable the other Party to apply for and to prosecute Applications in any country; and (c) promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management of any such Application.

Cooperation of the Parties. Each Party agrees to cooperate fully in the Patent Management of any Patent Rights under this Agreement. Such cooperation includes, but is not limited to: (ai) turning over to the Filing Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (bii) executing all papers and instruments, or requiring its employees or agents, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth in Section 11.1 8.2 and to enable the [ * ] Confidential treatment requested other Party to apply for and to prosecute Applications in any country; and (ciii) promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management of any such Application.

Cooperation of the Parties. Each Party agrees to cooperate fully in the Patent Management of any Patent Rights under this Agreement. Such cooperation includes, but is not limited to: (ai) turning over to the Filing Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (bii) executing all papers and instruments, or requiring its employees or agents, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth in Section 11.1 8.2 and to enable the other Party to apply for and to prosecute Applications in any country; and (ciii) promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management of any such Application.

Cooperation of the Parties. Each Party agrees (and will cause any of its Affiliates) to cooperate fully in the Patent Management preparation, filing, prosecution and maintenance of any Patent Rights under this Agreementpatent rights with respect to Program Inventions. Such cooperation includes, shall include but is not be limited to: : (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (b) executing all papers and instruments, or requiring using reasonable efforts to cause its employees or agents, agents to execute such papers and instruments, so as to effectuate the ownership of Patent Rights intellectual property rights set forth in Section 11.1 5.1 and to enable the other Party to apply for file and to prosecute Applications patent applications and to maintain patents in any country; and ; (cb) promptly informing the other Party of any matters coming to such Party's ’s attention that may affect the Patent Management preparation, filing or prosecution of any such Applicationpatent applications or the maintenance of any such patents; and (c) undertaking no actions that are potentially deleterious to the preparation, filing or prosecution of such patent applications or to the maintenance of such patents.

Cooperation of the Parties. Each Party agrees to cooperate fully in the Patent Management preparation, filing, prosecution and maintenance of any Patent Rights patent rights under this Agreement. Such cooperation includes, but is not limited to: (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (b) : 13.3.1 executing all papers and instruments, or requiring its employees or agentscontractors, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth Inventions specified in Section 11.1 Clause 13.1, and patents claiming or disclosing such Inventions, and to enable the other Party to apply for and to prosecute Applications patent applications in any country; and (c) and 13.3.2 promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management preparation, filing, prosecution or maintenance of any such Applicationpatent applications.

Cooperation of the Parties. Each Party agrees to cooperate fully in the Patent Management preparation, filing, prosecution and maintenance of any Patent Rights patents or patent applications under this Agreement. Such cooperation includes, but is not limited to: : (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (bi) executing all papers and instruments, or requiring its employees or agents, agents to execute all such papers and instruments, so as to effectuate in accordance with this Agreement the ownership of Patent Rights inventions, patents and patent applications set forth in Section 11.1 Sections 8.4(a) - 8.4(b) herein, and to enable the other Party party to apply for and to prosecute Applications patent applications in any country; and and (cii) promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management preparation, filing, prosecution or maintenance of any such Applicationpatent applications or patents.

Such cooperation includes, but is not limited to: (ai) turning over to the Filing Party to whom responsibility for Patent Management has been transferred, copies of all files, papers and documents relating to such transferred Patent; (bii) executing all papers and instruments, or requiring its employees or agents, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights set forth in Section 11.1 and to enable the other Party to apply for and to prosecute Applications in any country; and (ciii) promptly informing the other Party of any matters coming to such Party's attention that may affect the Patent Management of any such Application.

Cooperation of the Parties. Each Party party agrees to cooperate fully in the Patent Management preparation, filing, prosecution and maintenance of any Patent Rights under this Agreementpursuant to Section 10.2. Such cooperation includes, but is not limited to: (a) turning over to the Party to whom responsibility for Patent Management has been transferred, all files, papers and documents relating to such transferred Patent; (b) executing all papers and instruments, or requiring its employees or agentscontractors, to execute such papers and instruments, so as to effectuate the ownership of Patent Rights Inventions set forth in Section 11.1 10.1, and Patent Rights claiming or disclosing such Inventions, and to enable the other Party party to apply for and to prosecute Applications patent applications in any country; country as permitted by Section 10.2, and (cb) promptly informing the other Party party of any matters coming to such Party's party’s attention that may affect the Patent Management prosecution and maintenance of any such Applicationpatent applications.
