Common use of Cooperation Součinnost Clause in Contracts

Cooperation Součinnost. 10.3 .1 The Institution/Investigator shall take all such actions throughout the term of this Agreement and thereafter as shall be necessary in order to ensure that the Inventions may be vested free of encumbrance in the Sponsor in accordance with Section 10.1.1 above. The Institution/Investigator shall further cooperate with the Sponsor, at the Sponsor’s expense by promptly executing any documents or carrying out any acts that may be required to vest the rights in or to Inventions in the Sponsor and otherwise to enable the Sponsor fully to protect its intellectual property. The Institution/Institution shall and agrees that the Investigator shall further cooperate with the CRO and/or Sponsor, at the Sponsor’s expense by promptly executing any documents or carrying out any acts that may be required to vest the rights in or to Inventions in the Sponsor and otherwise to enable the Sponsor fully to protect its intellectual property.
