COOPERATIONS. 2.5.1 Participation by Company Partners Typically each Company Partner participates in multiple Areas and/or projects of the research program. The concrete areas of work and/or projects are defined in the respective Cooperation Agreement that a company partner concludes with Software Competence Center Hagenberg GmbH. Assuring a relationship that is as balanced as possible among the contributions of the individual Com- pany Partners and the intensity and quality of project work is monitored overall by the management of Software Competence Center Hagenberg GmbH and for individual projects by the managers of the rel- evant research focus. For voting and to pursue their interests, the Company Partners founded the Association of Company Partners of Software Competence Center Hagenberg, which is also a shareholder of Software Compe- tence Center Hagenberg GmbH. Company representatives are nominated for the Board of Supervisors of Software Competence Center Hagenberg GmbH through the Association.

COOPERATIONS. From and after the date hereof, you will cooperate in all reasonable respects with Viatel and its respective directors, officers, attorneys and experts in connection with the conduct of any action, proceeding, investigation or litigation involving Viatel, solely with respect to events or actions which occurred when you were employed by Viatel; provided, however, that you will be entitled to: (i) reasonable notice from Viatel of Viatel's request hereunder; (ii) full reimbursement by Viatel of your documented costs and expenses incurred in connection with your cooperation hereunder (including, without limitation, your reasonable attorneys' fees and expenses); (iii) payment by Viatel for your actual time spent cooperating with Viatel, as described herein, at any hourly rate of $300.00 per hour; and (iv) be indemnified and held harmless by Viatel for your actions taken in accordance with this paragraph.
COOPERATIONS. The parties shall reasonably cooperate with regard to matters not specifically covered by the provisions of this Lease with a view to their mutual benefit and advantage.

  • Regulatory Cooperation In connection with any foreclosure, collection, sale or other enforcement of Liens granted to the Administrative Agent in the Collateral Documents, Parent will, and will cause its Restricted Subsidiaries to, reasonably cooperate in good faith with the Administrative Agent or its designee in obtaining all regulatory licenses, consents and other governmental approvals necessary or (in the reasonable opinion of the Administrative Agent or its designee) reasonably advisable to conduct all aviation operations with respect to the Collateral and will, at the reasonable request of the Administrative Agent and in good faith, continue to operate and manage the Collateral and maintain all applicable regulatory licenses with respect to the Collateral until such time as the Administrative Agent or its designee obtain such licenses, consents and approvals, and at such time Parent will, and will cause its Restricted Subsidiaries to, cooperate in good faith with the transition of the aviation operations with respect to the Collateral to any new aviation operator (including, without limitation, the Administrative Agent or its designee).
