Common use of Copyright Clause in Contracts

Copyright. Upon execution of this Contract, the Design Professional expressly grants, assigns, transfers, and otherwise quitclaims to the Owner, its successors, and assigns, pursuant to 17 U.S.C. §201(d), all common law, statutory, and other reserved rights, including copyrights in both the Instruments of Service and in the buildings, improvements, and structures embodying the architectural and engineering works that constitute the Project, provided that the Owner shall comply with all obligations, including prompt payment of all sums, when due, under this Contract. The Design Professional shall obtain similar grants, assignments, transfers, and quitclaims from its consultants consistent with this Contract. The Design Professional warrants (and shall cause each of the Design Professional’s consultants to warrant also) that this transfer of copyright and other rights is valid against the world.

The Design Professional Builder shall obtain similar grants, assignments, transfers, and quitclaims from its consultants consistent with this Contract. The Design Professional Builder warrants (and shall cause each of the Design ProfessionalBuilder’s consultants to warrant also) that this transfer of copyright and other rights is valid against the world.

Upon execution of this the Contract, the Design Professional Service Provider expressly grants, assigns, transfers, transfers and otherwise quitclaims to the Owner, its successors, successors and assigns, pursuant to 17 U.S.C. §201(d), all common law, statutory, statutory and other reserved rights, including copyrights in both the Instruments of Service and in the buildings, improvements, improvements and structures embodying the architectural and engineering works that constitute the Project, provided that the Owner shall comply with all obligations, including prompt payment of all sums, sums when due, under this Contract. The Design Professional Service Provider shall obtain similar grants, assignments, transfers, transfers and quitclaims from its consultants his consultants, engineers and designers consistent with this Contract. The Design Professional Service Provider warrants (and shall cause each of the Design ProfessionalService Provider’s consultants subcontractors, consultants, engineers and designers to warrant alsoalso warrant) that this transfer of copyright and other rights is valid against the world.
