Instruments of Service. Instruments of Service are representations, in any medium of expression now known or later developed, of the tangible and intangible creative work performed by the Architect and the Architect’s consultants under their respective professional services agreements. Instruments of Service may include, without limitation, studies, surveys, models, sketches, drawings, specifications, and other similar materials.
Instruments of Service. The Contractor’s use of the drawings, specifications and other documents known as the Consultant’s Instruments of Service is limited to the execution of the Contractor’s scope of work of this project unless the Contractor receives the written consent of the Owner and Consultant for use elsewhere.

Instruments of Service. 7.1.1 Drawings, specifications and other documents, include those in electronic form, prepared by the Architect/Engineer and the Architect/Engineer’s consultants are Instruments of Service for use solely with respect to this Project. The Architect/Engineer and the Architect/Engineer’s consultants shall be deemed the authors and owners of their respective instruments of service and shall retain all common law, statutory and other reserved rights, including copyrights. 7.1.2 Upon execution of this Agreement, the Architect/Engineer hereby grants to the State a perpetual nonexclusive license to reproduce and use, and permit others to reproduce and use for the State, the Architect/Engineer’s Instruments of Service solely for purposes of constructing, using and maintaining the Project or for future alterations, or additions to the Project. The Architect/Engineer shall obtain similar nonexclusive licenses from the Architect/Engineer’s consultants consistent with this Agreement. If, and upon the date the Architect/Engineer is adjudged in default of this Agreement, the foregoing license shall be deemed terminated and replaced by a second, nonexclusive license permitting the State to authorize other similarly credentialed design professionals to reproduce and, where permitted by law, to make changes, corrections or additions to the Instruments of Service solely for purposes of completing, using and maintaining the Project, or for future alterations, or additions to the Project. 7.1.3 Any unilateral use by the State of the Instruments of Service for completing, using, maintaining, adding to or altering the Project or facilities shall be at the State’s sole risk and without liability to the Architect/Engineer and the Architect/Engineer’s consultants; provided, however, that if the State’s unilateral use occurs for completing, using or maintaining the Project as a result of the Architect/Engineer’s breach of this Agreement, nothing in this Article shall be deemed to relieve the Architect/Engineer of liability for its own acts or omissions or breach of this Agreement.
Instruments of Service. The Drawings (including original Construction Documents), Specifications, materials, models, sketches, renderings, surveys, reports, and other documents, including those prepared as 3D electronic models, using CAD, and existing in other electronic formats, prepared or provided by Design-Builder are instruments of service intended for use solely with respect to the Project. Owner shall be permitted to retain copies, including reproducible and originally stamped copies, of all instruments of service, and is granted an unlimited and royalty free license to utilize instruments of service to communicate about the Project, expand the Project, build or complete the project in the case of a termination for any reason or if the parties do not agree to a Guaranteed Maximum Price, correct any deficiencies, make any renovations or repairs to the Project, or for future projects other than the construction of another building. Owner agrees to indemnify and hold Design-Builder harmless from any subsequent modification of the instruments of service by Owner and from Owner’s use of the instruments of service on other projects not involving Design-Builder.
Instruments of Service. Drawings, specifications, and other documents, including those in electronic form, prepared by the Consultant and their Subconsultants are Instruments of Service for use solely with respect to this project. The Consultant and their Subconsultants shall be deemed the authors and owners of their respective Instruments of Service and shall retain all common law, statutory and other reserved rights, including copyrights, except as expressly provided herein. Upon execution of this Agreement, the Consultant grants to the Owner a nonexclusive, assignable license to reproduce the Consultant's Instruments of Service solely for purposes of designing, constructing, using, and maintaining the project, provided that the Owner shall comply with all obligations, including prompt payment of all sums when due, under this Agreement; completion of the project if Owner has declared Consultant to be in default, including any modified or different project; and any subsequent addition to or renovation of the project. The Consultant shall obtain similar nonexclusive licenses from their Subconsultants consistent with this Agreement. In the event the Owner contracts with a different Consultant for the completion of the design and construction of the project contemplated by the Consultant’s Instruments of Service, such use shall be at Owner’s sole risk. Submission or distribution of Instruments of Service to meet official regulatory requirements or for similar purposes in connection with the project is not to be construed as publication in derogation of the reserved rights of the Consultant and their Subconsultants. Any unauthorized use of the Instruments of Service shall be at the Owner's sole risk and without liability to the Consultant and their Subconsultants. Notwithstanding the provisions of this Agreement, the Owner and the Consultant may, by separate written agreement, set forth specific conditions governing the sharing of electronic data, the format of Instruments of Service, or any third party special limitations or licenses not otherwise provided for in this Agreement.
Instruments of Service. All reports, plans, specifications, drawings, field data, notes, formulae, calculations, codes, computer programs and any other documents used in the preparation of the work hereunder or delivered to the Client hereunder, including electronic or digitized versions thereof, are instruments of service of ARRO and shall remain the property of ARRO. Client has the right to use the work delivered hereunder for an indefinite period of time for the purposes outlined in this Agreement. However, the work furnished by XXXX xxxxxxxxx, whether in document form or electronic or digitized versions thereof, are not to be reused by the Client or any other person or entity for extensions of the project for which they were prepared or on any other project. Any reuse of the documents or their electronic or digitized versions without specific written verification or adaptation by ARRO will be at the Client’s sole risk and without liability to ARRO, and Client shall hold ARRO harmless from any claims or damages resulting from such reuse, including claims of infringement of proprietary information.
Instruments of Service. All reports, design drawings, specifications, field data and notes, calculations, estimates and other documents prepared in the performance of Seller’s obligations under the Agreement by Seller or any of its employees or Subcontractors as instruments of service, other than any such items that are Work Product and other than any items that include Buyer Developed Intellectual Property and/or Buyer’s Background Intellectual Property (collectively, the “Instruments of Service”), shall remain Seller’s property. Seller hereby grants to Buyer and Xxxxx’s Affiliates perpetual, irrevocable, royalty free, transferable, worldwide, fully paid-up, non-exclusive license rights [***].
Instruments of Service. The Subcontractor’s use of the drawings, specifications and other documents known as the Consultant’s Instruments of Service is limited to the execution of the Subcontractor’s scope of work of this project unless the Subcontractor receives the written consent of the Owner and Consultant for use elsewhere.
