CORONAVIRUS EVENT Sample Clauses

CORONAVIRUS EVENT. If, due to a Coronavirus Event, the Club is prevented from carrying out any of its obligations under this Agreement (including for the avoidance of doubt, permitting a Purchaser and/or Named Ticket Member and/or Guest to attend the Stadium for Matches): a) the Club will contact the Purchaser and/or Named Ticket Member as soon as reasonably practicable after becoming aware of a Coronavirus Event;
CORONAVIRUS EVENT. 4.17.2.1 Notwithstanding any other provision in this Agreement and provided that the Party affected has complied with the remainder of this clause 4.18.2, a Party shall not be liable for any failure or delay in meeting any obligation in this Agreement to the extent that such delay and/or failure is caused by a Coronavirus Event. 4.17.2.2 If a Party is prevented or delayed from or in commencing or performing any of its obligations under this Agreement as a result of a Coronavirus Event then it shall promptly notify the other Party thereof and of the likely impact to those obligations and the scope and timeline for complying with its affected obligations. 4.17.2.3 The Party affected by the Coronavirus Event shall work to minimise the impact of any Coronavirus Event on its ability to meet its affected obligations under this Agreement and shall keep the other Party regularly informed of both any delay and/or disruption as well the steps that Party is taking to mitigate such delay and/or disruption. 4.17.2.4 Where a Coronavirus Event occurs and notwithstanding the foregoing, the Parties shall cooperate and work together to mitigate the impact of the Coronavirus Event and to the extent a Placement has to be temporarily suspended as a result of a Coronavirus Event, develop an action plan to restart Placements as soon as possible.
CORONAVIRUS EVENT. If, due to a Coronavirus Event, the Club is prevented from carrying out any of its obligations under this Agreement (including for the avoidance of doubt, permitting a Purchaser and/or Named Ticket Member and/or Guest to attend the Stadium for Matches): a) the Club will contact the Purchaser and/or Named Ticket Member as soon as reasonably practicable after becoming aware of a Coronavirus Event; b) the Club’s obligation to provide the benefits, facilities and services specified in this Agreement and to will be suspended for as long as the Coronavirus Event continues; c) the Club will explore and consider in good faith what remedies and options it may reasonably be able to offer to enable Purchaser and/or Named Ticket Member and/or Guest to benefit from the Ticket and the benefits and services granted thereunder and may offer such remedies or options to the Purchaser and/or Named Ticket Member and/or Guest in full and final satisfaction of any obligations or liabilities it has to such Purchaser and/or Named Ticket Member and/or Guest under this Agreement; d) notwithstanding Section (c), the Purchaser and/or Named Ticket Member and/or Guest of that Ticket will be entitled to: i where any Match is postponed, attend that Match on the new date for that Match provided always that the Coronavirus Event does not require any rearranged Match to be played without supporters or with a reduced capacity in the Stadium; ii or, where the Named Ticket Member cannot attend a Match or Matches covered by the Ticket(s): iii a pro rata refund (calculated in line with Section 12); or iv to such other remedy or compensation as the Club may reasonably offer in view of the diminished value of Season Ticket(s) over the period during which the Coronavirus Event continues; and the Club shall not otherwise be in breach of this agreement nor liable for delay in performing, or failure to perform any of its obligations under this Agreement if such delay or failure result from a Coronavirus Event.

  • Pandemic An epidemic that spreads over a wide area, crossing borders and defined as a pandemic by the World Health Organisation (WHO) and/or by the competent local authorities of the country where the loss occurred. Isolation of the person, in the event of suspected illness or proven illness, decided by a competent local authority, in order to avoid a risk of spreading said illness in the context of an epidemic or pandemic.

  • Musculoskeletal Injury Prevention and Control The hospital in consultation with the Joint Health and Safety Committee (JHSC) shall develop, establish and put into effect, musculoskeletal prevention and control measures, procedures, practices and training for the health and safety of employees.

  • Influenza Vaccine Upon recommendation of the Medical Officer of Health, all employees shall be required, on an annual basis to be vaccinated and or to take antiviral medication for influenza. If the costs of such medication are not covered by some other sources, the Employer will pay the cost for such medication. If the employee fails to take the required medication, she may be placed on an unpaid leave of absence during any influenza outbreak in the home until such time as the employee has been cleared by the public health or the Employer to return to the work environment. The only exception to this would be employees for whom taking the medication will result in the employee being physically ill to the extent that she cannot attend work. Upon written direction from the employee’s physician of such medical condition in consultation with the Employer’s physician, (if requested), the employee will be permitted to access their sick bank, if any, during any outbreak period. If there is a dispute between the physicians, the employee will be placed on unpaid leave. If the employee gets sick as a reaction to the drug and applies for WSIB the Employer will not oppose the application. If an employee is pregnant and her physician believes the pregnancy could be in jeopardy as a result of the influenza inoculation and/or the antiviral medication she shall be eligible for sick leave in circumstances where she is not allowed to attend at work as a result of an outbreak. This clause shall be interpreted in a manner consistent with the Ontario Human Rights Code.

  • Erosion Prevention and Control Purchaser’s Operations shall be conducted reasonably to minimize soil erosion. Equipment shall not be operated when ground conditions are such that excessive damage will result. Purchaser shall adjust the kinds and intensity of erosion control work done to ground and weather condi- tions and the need for controlling runoff. Erosion control work shall be kept current immediately preceding ex- pected seasonal periods of precipitation or runoff.

  • Nepotism No employee shall be directly supervised by a member of his/her immediate family. "

  • Human Leukocyte Antigen Testing This plan covers human leukocyte antigen testing for A, B, and DR antigens once per member per lifetime to establish a member’s bone marrow transplantation donor suitability in accordance with R.I. General Law §27-20-36. The testing must be performed in a facility that is: • accredited by the American Association of Blood Banks or its successors; and • licensed under the Clinical Laboratory Improvement Act as it may be amended from time to time. At the time of testing, the person being tested must complete and sign an informed consent form that also authorizes the results of the test to be used for participation in the National Marrow Donor program.

  • TECHNOLOGICAL CHANGE 45.1 The parties have agreed that in cases where, as a result of technological change, the services of an employee are no longer required beyond a specified date because of lack of work or the discontinuance of a function, the Work Force Adjustment Policy concluded by the parties will apply. In all other cases, the following clauses will apply: 45.2 In this Article "Technological Change" means:

  • Following a Change in Control If, within thirty-six (36) months following a Change in Control, the Executive (i) is terminated without Cause, or (ii) resigns for Good Reason (as defined and qualified in Section 9(f) above), then the Executive will be entitled to receive (i) all Base Salary and benefits to be paid or provided to the Executive under this Agreement through the Date of Termination, (ii) the amount of any cash bonus related to any year ending before the Date of Termination that has been earned but remains unpaid, (iii) an amount equal to two hundred ninety-nine percent (299%) of the Adjusted Bonus Amount, (iv) an amount equal to two hundred ninety-nine percent (299%) of the Executive’s Base Salary, (v) notwithstanding anything to the contrary in any equity incentive plan or agreement, all equity incentive awards which are then outstanding, to the extent not then vested, shall vest, (vi) health insurance benefits substantially commensurate with the Company’s standard health insurance benefits for the Executive and the Executive’s spouse and dependents through the third anniversary of the Date of Termination; provided, however, that such continued benefits shall terminate on the date or dates Executive receives substantially similar coverage and benefits, without waiting period or pre-existing condition limitations, under the plans and programs of a subsequent employer (such coverage and benefits to be determined on a coverage-by-coverage or benefit-by-benefit basis); provided further, that any continued health insurance benefits which are provided under this Agreement (including benefits under Section 9(m)) shall run concurrently with any continuation coverage that the Executive or the Executive’s spouse and dependents are entitled to under COBRA and any rights (including the length of coverage) that the Executive and the Executive’s spouse and dependents may be entitled to under COBRA shall not be increased (or extended) due to any continued health insurance benefits which may be provided to the Executive and the Executive’s spouse or dependents pursuant to this Agreement, and (vii) any other unpaid benefits to which the Executive is otherwise entitled under any plan, policy or program of the Company applicable to the Executive as of the Date of Termination (such benefits shall be paid in accordance with the provisions of the applicable arrangements). The amounts referred to in clauses (i) through (iv) above will collectively be referred to as the “Change in Control Severance Amount.” The Change in Control Severance Amount will be paid to the Executive in a lump sum no later than sixty (60) days following the Date of Termination, with the date of such payment determined by the Company in its sole discretion. The Executive agrees to execute, deliver and not revoke a general release in the form attached as Exhibit A. Payments pursuant to this Section 9(h) will be made in lieu of, and not in addition to, any payment pursuant to any other paragraph of this Section 9.
