COT Uses without Additional Compensation. Without additional compensation to ARTISTS, COT may produce, distribute, or release for broadcast, the following, provided that no other ARTISTS, orchestra member, or other performers or production personnel receive additional compensation for such release with the exception of personnel directly involved in the capture and/or editing of such material: (1) Any audio or audiovisual documentation of COT’s productions or rehearsals required by funding sources to apply for funding. (2) For the purpose of any television or radio broadcast: (i) Up to thirty (30) minutes documenting COT's process of producing an opera or of ARTIST's professional activities (e.g., a documentary) (ii) Up to thirty (30) minutes for education, community engagement and/or public service (e.g., children, engagement of new/targeted communities) (3) Audio or Audiovisual capture from any performance or rehearsal service of up to five (5) minutes in length for the purpose of civic promotion or education of publicly-elected officials. (4) Audio or audiovisual capture from any performance or rehearsal service of up to five (5) continuous minutes, or up to fifteen (15) total minutes provided that the fifteen (15) minutes consists of non-consecutive segments, no one of which is longer than five (5) minutes. This option may not be used by any third party or for television or radio broadcast. COT may use this option for: (i) promotional purposes on its own website; (ii) in conjunction with its media or other commercial or non- commercial institutional sponsors or partners on their websites; (iii) on other internet sites such as YouTube or social media sites; (iv) in kiosks or monitors at its location or in tourist or other promotional locations; (v) in cell phone or wireless transmission, in streaming emails, or on podcasts as long as the segments used for promotional purposes are not themselves being sold; and/or (vi) for COT’s donor cultivation and stewardship activities.

  • Termination In the event that either Party seeks to terminate this DPA, they may do so by mutual written consent so long as the Service Agreement has lapsed or has been terminated. Either party may terminate this DPA and any service agreement or contract if the other party breaches any terms of this DPA.

  • Definitions As used in this Agreement, the following terms shall have the following meanings:

  • WHEREAS the Company desires the Warrant Agent to act on behalf of the Company, and the Warrant Agent is willing to so act, in connection with the issuance, registration, transfer, exchange, redemption and exercise of the Warrants; and

  • Dimensions Education Bachelor’s or Master’s Degree in Computer Science, Information Systems, or other related field. Or equivalent work experience. A minimum of 10 years of IT and business/industry work experience, with at least 3 years of leadership experience in managing multiple, large, cross-functional teams or projects, and influencing senior level management and key stakeholders. Requires advanced technical and business knowledge in software development life cycle, quality assurance, project management and other related disciplines/processes.

  • Indemnification Notwithstanding any contrary provision contained in this Agreement, any election hereunder or any termination of this Agreement, and whether or not this Agreement is otherwise carried out, the provisions of Section 5 shall not be in any way affected by such election or termination or failure to carry out the terms of this Agreement or any part hereof.

  • Term The term of this Agreement will be ten (10) years from the Effective Date (as such term may be extended pursuant to Section 4.2, the “Term”).

  • Assignment This Agreement and all rights and obligations hereunder may not be assigned without the written consent of the other party.

  • NOW, THEREFORE the parties hereto agree as follows:

  • General The Trustee shall keep proper books of record and account of all the transactions of each Trust under this Indenture at its corporate trust office, including a record of the name and address of, and the Units issued by each Trust and held by, every Unit holder, and such books and records of each Trust shall be open to inspection by any Unit holder of such Trust at all reasonable times during the usual business hours. The Trustee shall make such annual or other reports as may from time to time be required under any applicable state or federal statute or rule or regulations thereunder.

  • IN WITNESS WHEREOF the parties hereto have executed this Agreement as of the date first above written.
