In general, review comments shall be returned to COUNTY within two weeks following receipt of draft design documents. COUNTY shall incorporate CITY comments, which do not significantly impact PROJECT budget or schedule and shall consult with CITY to resolve differences. 2.5 COUNTY shall advertise, award, and administer the construction contract for the PROJECT. 2.6 COUNTY shall, following bid opening, notify CITY of the amount of the construction cost of the WATERLINE and SANITARY SEWER WORK as contained in the bid, and provide CITY with the opportunity for review of the contract bid. The CITY shall have 14 calendar days from bid opening to request the WATERLINE and SANITARY SEWER WORK bid schedules be deleted from the contract. COUNTY shall have the right, in its discretion, to award or reject bids for the PROJECT in accordance with applicable law and rules. 2.7 COUNTY shall coordinate inspection services with CITY as set forth in Article III. 2.8 COUNTY shall coordinate amendments to design contract and Construction Change Orders associated with the WATERLINE and SANITARY SEWER WORK with the City. 2.9 COUNTY shall be responsible for acceptance of the WATERLINE and SANITARY SEWER WORK on behalf of CITY. 2.10 COUNTY shall be responsible to maintain the ROAD WORK upon completion and acceptance of the Project. 2.11 COUNTY shall perform all actions regarding compensation as set forth in Article IV - Compensation.

The COUNTY may award the construction contract, including the bid schedule for WATERLINE WORK unless TVWD and CITY shall have 14 calendar informs COUNTY in writing within 5 business days from bid opening date that they wish to request cancel construction as part of the WATERLINE PROJECT. 2.5 COUNTY shall cause the contractor to name and SANITARY SEWER WORK bid schedules be deleted from endorse TVWD, CITY, their elected or appointed officials, staff, employees and agents as additional insureds on all policies provided by the contractor under the contract. The endorsements to policies shall provide for not less than 30 days written notice of cancellation. 2.6 COUNTY shall have overall responsibility for Project inspection and administration and at all times shall be responsible to monitor and manage the rightcontractor’s work as provided in the construction contract documents. TVWD and CITY will provide a Waterline Project Manager and on-site Inspectors to inspect the Waterline Work who shall communicate with the COUNTY Project Manager regarding progress of the work. With respect to the Waterline Work, the COUNTY shall defer to the Waterline Project Manager all decisions, recommendations and interpretations regarding the construction of the Waterline Work to meet the quality and performance of the water system design. County shall communicate and direct the contractor in its discretionthe Waterline Work performance in accord with the decisions of the Waterline Project Manager. The COUNTY shall have all decision making authority on the road improvements, subject to award or reject bids for the PROJECT in accordance with applicable law and rulesSection 2.7. 2.7 Notwithstanding Section 2.6, Waterline Project Manager or on site inspectors may stop the contractor’s work if they observe a situation involving safety issues that threaten life or bodily harm. Further, the Waterline Project Manager may stop work based on observations that the Waterline Work is not being performed according to the contract documents. The Waterline Project Manager will use reasonable efforts to notify the COUNTY shall coordinate inspection services with CITY Project Manager of the need to stop work but may act as set forth in Article IIIthey deem appropriate under the circumstances to stop work. 2.8 COUNTY will review the monthly estimate of Waterline Work performed by the contractor prepared by the Waterline Project Manager and on site inspectors based on their inspection of the work performed to date, the method of payment and schedule of values specified in the contract, materials delivered to the site but not incorporated into the work and other matters deemed appropriate for payment. The monthly estimate shall coordinate amendments be provided to design contract and Construction Change Orders associated with COUNTY in order for County to meet its periodic pay request process under the WATERLINE and SANITARY SEWER WORK with the Cityconstruction contract. 2.9 County shall invoice TVWD on a quarterly basis for the Waterline Work performed for the preceding three months and TVWD will reimburse the COUNTY as provided in Article 4 - Compensation, below. The COUNTY’s invoice shall show the percentage allocation between TVWD and the CITY for the Waterline Work. The initial invoice from the County shall be responsible for acceptance rendered following completion of the WATERLINE and SANITARY SEWER WORK on behalf of CITYfirst three months work by the contractor. 2.10 COUNTY shall be responsible provide a final cost accounting for the Waterline Work including all internal and external costs, to maintain the ROAD WORK upon completion TVWD and CITY within 45 days of final acceptance of Waterline and payment to the Projectcontractor. 2.11 COUNTY shall obtain TVWD and CITY approval on any contract construction change order or proposed revisions to Waterline Work as provided in Section 3.9. County will endeavor to provide notice of potential charge orders at the earliest possible time. Approval will be communicated by the TVWD Project Manager and City Project Representative. A written change order must be executed by all Parties to be effective. 2.12 COUNTY shall coordinate with TVWD and CITY on any disagreements, disputes, delays or claims with the contractor related to or as a result of the Waterline Work. 2.13 COUNTY shall perform all actions regarding compensation as set forth in Article IV - 4 – Compensation. 2.14 Upon completion of the Waterline Work and acceptance of the Project, County will convey all right, title and interest in the Waterline Work to TVWD and City by a conveyance document acceptable to them. The County will also assign to TVWD and City any and all rights under warranties and guarantees and direct rights of action under the contract against the contractors and designers regarding Waterline Work. 2.15 County shall issue to TVWD and City a joint right of way occupancy permit for the Waterline Work. The Permit will, among other things: 2.15.1 recognize TVWD / City ownership of the Waterline Work; 2.15.2 that the Waterline Work shall occupy the County Right of Way where constructed; 2.15.3 County agrees to not require relocation of the waterline for a period of fifty (50) years from the date of completion of the Waterline Work. Thereafter the County may require relocation after giving TVWD and City not less than ten (10) years written notice; 2.15.4 TVWD and City shall be financially responsible for all costs of relocation; 2.15.5 that TVWD and City shall have access to the Waterline Work 2.15.6 as owners shall be authorized to construct, operate, maintain repair and replace the Waterline Work; 2.15.7 until a mutually agreeable right of way occupancy permit is issued, this Agreement shall act as the TVWD/City right of way permit; and 2.15.8 If the County seeks to vacate all or a portion of the right of way, the County shall provide or cause to be provided by the adjoining property owner a recorded easement for the Waterline Work approved by City and TVWD as a condition precedent to issuance of any final order of street vacation.

Tracking costs related to WATERLINE WORK and invoicing TVWD. 2.8 COUNTY shall coordinate amendments to design contract and Construction Change Orders associated with the WATERLINE and SANITARY SEWER WORK with the City. 2.9 COUNTY shall be responsible for acceptance of the WATERLINE and SANITARY SEWER WORK on behalf of CITY. 2.10 COUNTY shall be responsible to maintain the ROAD WORK upon completion and acceptance of the Project. 2.11 COUNTY shall perform all actions action regarding compensation as set forth in Article IV - 4 – Compensation.
