Agency Obligations. In consideration of the covenants of BNSF set forth herein and the faithful performance thereof, Agency agrees as follows: 1. Agency must furnish to BNSF plans and specifications for the Project. One electronic set of said plans, together with one copy of calculations, and one copy of specifications in English Units, must be submitted to BNSF for acceptance prior to commencement of any construction. BNSF will give Agency final written acceptance of the plans and specifications. Upon BNSF’s final written acceptance of the plans and specifications, said plans and specifications will become part of this Agreement and are hereby incorporated herein. Any acceptance of the plans and specifications by BNSF shall in no way obligate BNSF in any manner with respect to the finished product design and/or construction. Any acceptance by BNSF shall mean only that the plans and specifications meet the subjective standards of BNSF, and such acceptance by BNSF shall not be deemed to mean that the plans and specifications or construction is structurally sound and appropriate or that such plans and specifications meet applicable regulations, laws, statutes or local ordinances and/or building codes. 2. Agency must make any required application and obtain all required permits and approvals for the construction of the Project. 3. Agency must provide for and maintain minimum vertical and horizontal clearances, as required in Exhibit C and as approved by BNSF as part of the plans and specifications for the Project. 4. Agency must acquire all rights of way necessary for the construction of the Project. 5. Agency must make any and all arrangements, in compliance with BNSF’s Utility Accommodation Manual (xxxx://xxx.xxxx.xxx/communities/faqs/pdf/utility.pdf), for the installation or relocation of wire lines, pipe lines and other facilities owned by private persons, companies, corporations, political subdivisions or public utilities other than BNSF which may be necessary for the construction of the Project.. 6. Agency must construct the Project as shown on the attached Exhibit A and do all work (“Agency’s Work”) provided for in the plans and specifications for the Project, except railroad work that will be performed by BNSF hereunder. Agency must furnish all labor, materials, tools and equipment for the performance of Agency’s Work. The principal elements of Agency’s Work are as follows:

Agency Obligations. Flock will assist Agency Authorized End Users in the creation of a User ID. Agency agrees to provide Flock with accurate, complete, and updated registration information. Agency may not select as its User ID a name that Agency does not have the right to use, or another person’s name with the intent to impersonate that person. Agency may not transfer its account to anyone else without prior written permission of Xxxxx. Agency will not share its account or password with anyone and must protect the security of its account and password. Unless otherwise stated and defined in this Agreement, Agency may not designate Authorized End Users for persons who are not officers, employees, or agents of Agency. Authorized End Users shall only use Agency-issued email addresses for the creation of their User ID. Agency is responsible for any activity associated with its account. Agency shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services. Agency will, at its own expense, provide assistance to Flock, including, but not limited to, by means of access to, and use of, Agency facilities, as well as by means of assistance from Agency personnel to the limited extent any of the foregoing may be reasonably necessary to enable Flock to perform its obligations hereunder, including, without limitation, any obligations with respect to Support Services or any Installation Services.

Agency Obligations. Agency shall perform the Services assigned to Agency in Exhibit A. All Services provided by Agency shall comply with ODOT’s Right of Way Manual in effect at the time the Services are performed.
Agency Obligations. The Agency shall promote UCT Prague and recruit the students for UCT Prague study programs with due care. Unless expressly stipulated otherwise, the Agency bears all the costs of its activities. The Agency shall acquaint the concerned applicants / students with the study programs taught at UCT Prague, with their plans of studies and study regulations. The Agency shall provide students with relevant information on accommodation, living conditions and social life in the Czech Republic and Prague. The Agency shall ensure that the concerned applicants submit all the necessary documents required by UCT Prague for the admission procedure. The necessary documents at the date of signature (which may change in the future) are: a fully completed application form, originals or certified copies and, where necessary, their translations, of previous education record including the final (school-leaving) certificate. The Agency will work together with UCT Prague to ensure that applicants attend admissions video calls with UCT Prague representatives applicants attend admissions tests at UCT Prague in Prague, or applicants attend admissions tests organized by the Agency in cooperation with UCT Prague in any of the Selected Countries, or at any other place agreed by the contracting parties. Any administrative costs related to admissions tests organization will be borne by the Agency. Any applicants’ costs associated with the admissions tests, including travel expenses and other costs (accommodation, etc.) related to their travel, will be borne by the applicants or shall be resolved directly between the Agency and the applicants. The Agency shall assure for timely payment of tuition fees by the admitted students to the UCT Prague bank account. The payment is imperative for the enrolment of each student in the UCT Prague study program. The Agency shall help and assist each admitted student with the procurement of visa / long term stay in the Czech Republic; nostrification (recognition) of previous education required by the Czech Republic. The Agency shall assure that enrolled students appear at UCT Prague not later than one week prior to the day of the beginning of inclass instruction in the respective academic year / semester. The Agency shall collaborate properly and communicate on a timely basis with the UCT Prague Department of International Relations in all points stated above.

Agency Obligations. 6.1 The Agency shall use reasonable endeavours to secure a suitable Engagement for the Candidate but shall be under no obligation to find Employment for the Candidate. 6.2 The Agency shall provide the Registration with reasonable skill, care and in accordance with the recognised codes of practice and statutory obligations. 6.3 The Agency shall take all reasonable steps to ensure Clients are professional and courteous but cannot be held responsible for the conduct of any third parties. 6.4 An offer of employment by a Client is not made until written details are received from the Client. The Agency does not accept any responsibility and shall not be liable for any loss suffered by the Candidate in connection with the acceptance of such offer, this Agreement or otherwise (including, but not limited to loss caused by reason of the Candidate’s decision to resign from his/her current employment or any existing Engagement before or after receipt of the Client’s written offer).

Agency Obligations. All data applicable to the project and in possession of ALAMEDA CTC or another agency that are to be made available to CONSULTANT are referred to in the AGREEMENT. Any other assistance or services to be furnished to CONSULTANT are to be stated clearly.

AMENDMENTS OR CHANGES: Following the completion of an energy audit, the AGENCY shall inform the OWNER in writing of any amendments or changes to the weatherization measures to be performed/installed as identified in Attachment 1. If the OWNER rejects major weatherization measures, the project may not proceed. Major weatherization measures may include but are not limited to: air sealing; insulation; replacement of appliances such as a furnace or refrigerator.
