Court Filings. No Party shall file any materials with the Court in support of the settlement that are inconsistent with the terms of the settlement agreement.
Court Filings. Prior to the delivery of any notice of termination pursuant to Section 4 hereof, the Collateral Agent or its nominee or designee may indicate in any filing or petition with the LGCB or any court or otherwise its intention to (a) name any Person other than the Manager as a Receiver with respect to the Casino or (b) terminate the Management Agreement, and the Manager acknowledges that (i) no such filing or petition shall constitute a notice of termination unless expressly designated as such by the Collateral Agent or its nominee or designee to the Manager, and (ii) the Manager shall have no rights to terminate the Management Agreement or withhold performance of any of its obligations thereunder as a result of any such filing or petition.
Court Filings. (a) Upon execution of this Asset Purchase Agreement, Seller shall file a Motion under 11 U.S.C. §363, (the "363 Motion"), seeking approval of this Agreement and of the transactions contemplated herein. A separate Motion shall be filed that shall include a proposed Bidding Procedures Order incorporating, at a minimum, the bidding parameters set forth in Paragraph 4.2 below. Seller shall then, as quickly as the Court will allow, and in accordance with applicable law, take all steps necessary to obtain, at the earliest possible date, the Court’s approval under 11 U.S.C. §363.
Court Filings. All Confidential Discovery Material filed with the Court pursuant to section 6(C) of this Court’s Individual Practices, and all portions of pleadings, motions or other papers filed with the Court that disclose such Confidential Discovery Material shall be filed under seal with the Clerk of the Court and kept under seal until further order of the Court.

(i) to (A) prepare and file with the Court, all documents, amendments and supplements required to be filed therewith or submitted thereto, (B) obtain the other’s approval as to the form and content of all such documents, amendments and supplements (which approval shall not be unreasonably withheld, conditioned or delayed), and (C) make any and all applications to, and initiate any and all appearances at, the Court, in each case, for the purpose of discontinuing the Scheme;
(ii) to allow the other a reasonable opportunity to review and comment on all such documents, amendments and supplements referred to in and accommodate all reasonable comments of the other on such documents, amendments and supplements; and
(iii) to use reasonable best efforts to, as promptly as reasonably practicable, discontinue any Court proceedings relating to the Scheme including ensuring: (i) the cancellation or indefinite postponement (as the case may be) of the Court Meeting and the Company Shareholders’ Meeting (if it has not already taken place); and (ii) that the resolutions of the Court Meeting and the Company Shareholders’ Meeting in respect of the Scheme are not put to a vote of the shareholders of the Company.
