Court Filings. No Party shall file any materials with the Court in support of the settlement that are inconsistent with the terms of the settlement agreement.
Court Filings. Prior to the delivery of any notice of termination pursuant to Section 4 hereof, the Collateral Agent (or its nominee or designee) may indicate in any filing or petition with the LGCB or any court or otherwise its intention to (a) name any Person other than the Manager as a receiver with respect to the Casino or (b) terminate the Management Agreement, and the Manager acknowledges that (i) no such filing or petition shall constitute a notice of termination unless expressly designated as such by the Collateral Agent (or its nominee or designee) to the Manager, and (ii) the Manager shall have no rights to terminate the Management Agreement or withhold performance of any of its obligations thereunder as a result of any such filing or petition.
Court Filings. The parties agree not to object to any Court filings consistent with this Agreement. The parties further agree that upon signing the litigation will be stayed for all purposes.
Court Filings. In the event of any Switch, each of the Company, Parent and Purchaser agrees:
(i) to (A) prepare and file with the Court, all documents, amendments and supplements required to be filed therewith or submitted thereto, (B) obtain the other’s approval as to the form and content of all such documents, amendments and supplements (which approval shall not be unreasonably withheld, conditioned or delayed), and (C) make any and all applications to, and initiate any and all appearances at, the Court, in each case, for the purpose of discontinuing the Scheme;
(ii) to allow the other a reasonable opportunity to review and comment on all such documents, amendments and supplements referred to in and accommodate all reasonable comments of the other on such documents, amendments and supplements; and
(iii) to use reasonable best efforts to, as promptly as reasonably practicable, discontinue any Court proceedings relating to the Scheme including ensuring: (i) the cancellation or indefinite postponement (as the case may be) of the Court Meeting and the Company Shareholders’ Meeting (if it has not already taken place); and (ii) that the resolutions of the Court Meeting and the Company Shareholders’ Meeting in respect of the Scheme are not put to a vote of the shareholders of the Company.
Court Filings. The Parties agree not to object to any Court filings consistent with this Settlement Agreement.
Court Filings. All Confidential Discovery Material filed with the Court pursuant to section 6(C) of this Court’s Individual Practices, and all portions of pleadings, motions or other papers filed with the Court that disclose such Confidential Discovery Material shall be filed under seal with the Clerk of the Court and kept under seal until further order of the Court.
Court Filings. Substantially concurrently with the filing thereof with the Bankruptcy Court, copies of the monthly operating reports required to be filed with the Bankruptcy Court. Prior to the filing thereof, copies of all material pleadings, motions and applications to be filed by or on behalf of the Borrowers with the Bankruptcy Court or provided to the U.S. Trustee (or any monitor or interim receiver, if any, appointed in the Chapter 11 Cases) or the Creditors’ Committee, or if it is not practicable to provide copies of the same in advance of filing, then advance notice of all such material pleadings, motions and applications and copies of all such documents promptly after each such document is filed with the Bankruptcy Court or to the U.S. Trustee (or any monitor or interim receiver, if any, appointed in the Chapter 11 Cases) or the Creditors’ Committee.
Court Filings. Within 10 working days after receiving the payment described in paragraph 5, counsel for Sierra Club will file a stipulation and proposed order of dismissal with prejudice.
Court Filings. The Borrowers shall provide the Lender with not less than two (2) Business Days prior written notice of any court filings to be made by them, such notice to include copies of such court filings.
