Termination Pursuant to Section 4. Either party may terminate this Agreement at any time subject to and in accordance with the provisions of Section 4. Upon the termination of this Agreement pursuant to Section 4 (other than a termination by RXi that is treated under Section 4 as a termination for Cause or a termination by the SAB Member other than for Good Reason), the Granting Party shall remain obligated to grant all Options under this Agreement required pursuant to Section 3(A)(2) hereof at the times and under the terms specified hereunder.

Termination Pursuant to Section 4. 2. If Employee’s employment is terminated pursuant to paragraph 4.2 hereof, then EMPLOYER shall pay to the Employee all amounts earned or accrued pursuant to the provisions of Section 3 hereof, but which have not yet been paid as of the date of the termination of the Employee. In addition, EMPLOYER shall pay Employee a prorated amount of Employee’s minimum guaranteed annual bonus (as set forth in Section 3.3) through the date of termination. In addition, EMPLOYER shall pay through the then remaining term of this Agreement, the amount of salary that would be payable pursuant to paragraph 3.1 if the Employee’s employment had not been terminated, at such times and in such amounts that would have been paid if Employee’s employment had not been terminated.

Termination Pursuant to Section 4. 2. In the event the Executive's employment is terminated by reason of the Executive's death or Disability, the Company shall pay or provide to the Executive (or his estate in the case of a termination due to the Executive's death) any compensation and Benefits accrued and otherwise payable to him under Section 3 through the last day of his actual employment by the Company (including, without limitation, any bonus if declared or earned but not yet paid for a completed fiscal year), and accrued vacation pay payable pursuant to the Company's policies, and any unreimbursed business expenses payable pursuant to Company policy (collectively the "Accrued Amounts"), which amounts shall promptly be paid in a lump sum. In addition, the Company shall: (i) continue to provide him and his dependents, for the twelve-month period commencing on the date of such termination, with the Benefits to which he would otherwise have been entitled hereunder had his employment not been terminated and (ii) pay to the Executive (or his estate in the case of his death) a pro-rata bonus for the year of termination equal to, the product of (x) the target annual bonus for the fiscal year of Executive's termination, multiplied by (y) a fraction, the numerator of which is the number of days of the current fiscal year during which Executive was employed by the Company, and the denominator of which is 365, which bonus shall be paid when bonuses for such period are paid to the other executives (the "Pro-Rata Bonus").

  • Pursuant to Section 4 01, any amounts collected by a Servicer or the Master Servicer under any insurance policies (other than amounts to be applied to the restoration or repair of the property subject to the related Mortgage or released to the Mortgagor in accordance with the related Servicing Agreement) shall be deposited into the Distribution Account, subject to withdrawal pursuant to Section 4.03. Any cost incurred by the Master Servicer or the related Servicer in maintaining any such insurance (if the Mortgagor defaults in its obligation to do so) shall be added to the amount owing under the Mortgage Loan where the terms of the Mortgage Loan so permit; provided, however, that the addition of any such cost shall not be taken into account for purposes of calculating the distributions to be made to Certificateholders and shall be recoverable by the Master Servicer or such Servicer pursuant to Sections 4.01 and 4.03.

  • Pursuant to Section 3 03 of the Indenture Supplement, on each Distribution Date, the Indenture Trustee shall deposit into the Class A(2016-2) Interest Funding sub-Account the portion of Card Series Finance Charge Amounts allocable to the Class A(2016-2) Notes.
