Common use of Covenant of Cooperation and Good Faith Clause in Contracts

Covenant of Cooperation and Good Faith. 17.7.1 The Parties shall timely, diligently, in good faith and with Commercially Reasonable Efforts cooperate with each other, with due consideration of the goals, objectives and purposes of the Agreement, to facilitate the performance of their respective duties and obligations set forth in the Agreement and to reach agreement with respect to matters left for further review, consideration and/or negotiation and agreement by the Parties as specifically set forth in the Agreement.

Covenant of Cooperation and Good Faith. 17.7.1 The Parties shall timely, diligently, in good faith and with Commercially Reasonable Efforts on a commercially reasonable efforts basis, cooperate with each other, with due consideration of the goals, objectives and purposes of the this Agreement, to facilitate the performance of their respective duties and obligations set forth in the this Agreement and to reach agreement with respect to matters left for further review, consideration and/or or negotiation and agreement by the Parties as specifically set forth in the this Agreement.

Further, the Parties agree to deal and negotiate with each other in good faith in the Agreement execution and to reach agreement with respect to matters left for further review, consideration and/or negotiation implementation of their duties and agreement by the Parties as specifically set forth in the obligations under this Agreement.

However, except as provided in Section 8.3, nothing in this Agreement or any Transaction ----------- Document shall be construed as creating a relationship in which EDS is the fiduciary of Equifax.
