COVENANTS BY EPA. Except as specifically provided in Section IX (Reservations of Rights by EPA), EPA covenants not to sue or to take administrative action against Settling Party pursuant to Sections 106 and 107(a) of CERCLA, 42 U.S.C. §§ 9606 and 9607(a), [and Section 7003 of RCRA, 42 U.S.C. § 6973,]3 with regard to the Site.4 With respect to present and future liability, these covenants shall take effect upon the Effective Date. These covenants are conditioned upon the satisfactory performance by Settling Party of its obligations under this Settlement Agreement[.] [for installment payment plans or future sale of property obligations, continue sentence with: , including but not limited to, payment of all amounts due under Section VI (Payment of Response Costs) and any Interest or stipulated penalties due thereon under Section VII (Failure to Comply with Settlement Agreement).] These covenants are also conditioned upon the veracity and completeness of the Financial Information and the Insurance Information provided to EPA by Settling Party and the financial, insurance, and indemnity certification made by Settling Party in Paragraph 47. COVENANTS BY EPA. 94. In consideration of the actions that will be performed and the payments that will be made by Respondents under the terms of this Settlement Agreement, and except as otherwise specifically provided in this Settlement Agreement, EPA covenants not to sue or to take administrative action against Respondents pursuant to Sections 106 and 107(a) of CERCLA, 42 U.S.C. §§ 9606 and 9607(a), for the Work completed under this Settlement Agreement and for Past Response Costs, and Future Response Costs required under this Settlement Agreement, not exceeding the cost ceilings specified in Paragraph 76. This covenant not to sue shall take effect upon receipt by EPA of the Past Response Costs required from Respondents under Section XV (Payment of Response Costs) of this Settlement Agreement and any Interest or Stipulated Penalties that may accrue for failure to pay Past Response Costs as required by Sections XV (Payment of Response Costs) and XIX (Stipulated Penalties) of this Settlement Agreement. This covenant not to sue is conditioned upon the complete and satisfactory performance by Respondents of their obligations under this Settlement Agreement, including, but not limited to, payment of Future Response Costs pursuant to Section XV (Payment of Response Costs). Respondents are not released from liability, if any, for the performance of the Work or payment of Future Response Costs that exceed the cost ceilings specified in Paragraph 76 herein. This covenant not to sue extends only to Respondents and does not extend to any other person.

With respect to present and future liability, these covenants shall take effect upon the Effective Date. These covenants are conditioned upon the satisfactory performance by Xx. Xxxxxx and Trust 2000 of their obligations under this Settlement Agreement, including but not limited to, performance of the obligations in Section XII (Property Requirements). These covenants are also conditioned upon the veracity and completeness of the Financial Information provided to EPA by Xx. Xxxxxx and/or Trust 2000 and the financial and indemnity certification made by them in Paragraph 42. These covenants extend only to Settling Parties and do not extend to any other person.
