COVENANTS OF PARENT AND SUBSIDIARY. As a material inducement to induce Xxxxxx to consummate the Merger under this Agreement, Parent and Subsidiary represent and warrant that each of the matters set forth in this Section 5 are true and correct as of the date hereof, and acknowledge that Xxxxxx’ entry into this Agreement and the performance of his obligations hereunder are made in reliance upon the completeness and accuracy of each of the matters set forth herein. The representations and warranties being made by Parent and Subsidiary shall survive as set forth in Section 12.11 herein.
