Creation of Promotional Materials. Licensee will [***] create and develop Promotional Materials for the Territory in accordance with the Regulatory Approvals and Applicable Laws.
Creation of Promotional Materials. Shire will create and develop Promotional Materials for the ROW Territory. To the extent that Shire describes in any item of the Promotional Materials New River’s CarrierwaveTM proprietary technology, Shire shall include in such Promotional Materials the New River trademark for such technology. New River hereby grants Shire a royalty-free license for such purpose. To the extent Shire shall include such description and trademark in the Promotional Materials, Shire shall comply with New River’s then-current guidelines for trademark usage, a copy of which shall be provided to Shire from time to time.
Creation of Promotional Materials. EUSA is responsible for the creation and development of promotional materials for the Territory in accordance with the Regulatory Approvals and applicable Law.

Pfizer will create and develop Promotional Materials for the Territory in accordance with the Regulatory Approvals and applicable Laws, and shall provide samples thereof to Auxilium for its review and comment (and Pfizer shall consider any such comments in good faith) prior to distributing such Promotional Materials (for clarity, such samples need only be submitted for each different type of Promotional Material, as opposed to each item of Promotional Material needing to be submitted). To the extent Pfizer shall include any Auxilium trademarks in the Promotional Materials, Pfizer shall comply with Auxilium’s then-current guidelines for trademark usage a copy of which shall be provided by Auxilium to Pfizer within thirty (30) days of the Effective Date; provided, however that Pfizer shall not be required to comply with such guidelines or any changes, amendments or updates to such guidelines unless and until Auxilium provides such guidelines or changes, amendments, or updates, as applicable, to Pfizer; provided, further, that Pfizer shall be entitled to sell-off any existing inventory of materials which were in compliance with the guidelines existing prior to the receipt of any such changes, amendments or updates, as applicable and subject to applicable Law.
Creation of Promotional Materials. Licensee will create, directly or through its Sublicensees or other nominees, and develop Promotional Materials for the Product in accordance with the Regulatory Approvals and Applicable Law.

Ono will create and develop Promotional Materials for the Territory in accordance with the Regulatory Approvals and Laws, and shall provide samples thereof to Onyx for its review and comment (and Ono shall consider any such comments in good faith) prior to distributing such Promotional Materials. For clarity, such samples need only be submitted for each different type of Promotional Material, as opposed to each item of Promotional Material needing to be submitted. To the extent Ono includes any Onyx (or Onyx Affiliate) trademarks in the Promotional Materials, Ono shall comply with Onyx’s (or Onyx’s Affiliate’s) then-current guidelines for trademark usage.
Creation of Promotional Materials. Auxilium shall provide Sobi with existing and new Promotional Materials that are created and Controlled by Auxilium. Sobi will create and develop Promotional Materials for the Territory, which may be based on such Auxilium provided Promotional Materials, in accordance with the Regulatory Approvals and Laws, and shall provide samples thereof and of such other materials to Auxilium for its review and comment (and Sobi shall consider any such comments in good faith) prior to distributing such Promotional Materials. To the extent Sobi includes any Auxilium trademarks in the Promotional Materials, Sobi shall comply with Auxilium’s then current guidelines for trademark usage, provided such guidelines are made available to Sobi on a timely basis.

Licensee will create and develop Promotional Materials for the Territory in accordance with the Regulatory Approvals and Applicable Laws and at Licensee’s sole cost and expense, in each case based (to the extent consistent with such Regulatory Approvals and Applicable Laws) on promotional materials used by Amarin in the U.S. (copies of which shall be provided by Amarin to Licensee at Licensee’s reasonable request). Prior to the First Commercial Sale of the Product, Licensee shall provide samples thereof to Amarin in English for its information and use prior to distributing such Promotional Materials (for clarity, such samples need only be submitted for each different type of Promotional Material, as opposed to each item of Promotional Material needing to be submitted). Any new samples of Promotional Material for the Territory made thereafter will be CERTAIN CONFIDENTIAL PORTIONS OF THIS EXHIBIT WERE OMITTED AND REPLACED WITH “[***]”. A COMPLETE VERSION OF THIS EXHIBIT HAS BEEN FILED SEPARATELY WITH THE SECRETARY OF THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO AN APPLICATION REQUESTING CONFIDENTIAL TREATMENT UNDER RULE 24b-2 OF THE SECURITIES EXCHANGE ACT OF 1934. provided to Amarin for its information and use. To the extent Licensee includes any Amarin trademarks in the Promotional Materials for the Territory, Licensee shall comply with Amarin’s then current guidelines for trademark usage.

Any new samples of Promotional Material for the Territory made thereafter will be provided to Amarin for its information and use, subject to the licenses and restrictions granted hereunder. To the extent Licensee includes any Amarin trademarks in the Promotional Materials for the Territory, Licensee shall comply with Amarin’s then current guidelines for trademark usage.
Creation of Promotional Materials. Distributor will create and develop Promotional Materials for Commercialization of Product in the Territory in accordance with the Regulatory Approvals and applicable Laws, and will forward such Promotional Materials to Prestwick for regulatory submission. Distributor will also assist Prestwick, at Distributor’s sole cost, in obtaining any required approval of all Promotional Materials for Commercialization of Product in the Territory by Governmental Authorities including the FDA’s Division of Drug Marketing Advertising and Communications.
