Credit Agreement; Fee Letter. The Administrative Agent (or its counsel) shall have received from each party hereto either (A) a counterpart of this Agreement signed on behalf of such party or (B) written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmission of a signed signature page of this Agreement) that such party has signed a counterpart of this Agreement. The Administrative Agent (or its counsel) shall have received from each person party to the Fee Letter either (A) a counterpart of the Fee Letter signed on behalf of such party or (B) written evidence satisfactory to the Administrative Agent (which may include facsimile or other electronic transmission of a signed signature page of this Agreement) that such party has signed a counterpart of the Fee Letter.
Credit Agreement; Fee Letter. The Credit Parties party thereto, the Facility Agent and each of the Lenders who are initially parties hereto shall have signed a counterpart of (i) this Agreement, and (ii) the Fee Letter (in each case, whether the same or different counterparts) and shall have delivered the same to the Facility Agent.
