Common use of Customer Affiliates Clause in Contracts

Customer Affiliates. 11.1. Company acknowledges that the Customer may permit a Customer Affiliate to use the Services supplied by Company to the Customer under the Agreement. The Customer will procure that its Affiliates are aware of and comply with the terms of the Agreement. The Customer shall be liable to Company for any and all: (a) claims, losses and expenses suffered or incurred by Company as a result of a breach of a term of the Agreement resulting from a Customer Affiliate’s use of the Services; and (b) losses, costs and expenses resulting from any claims against Company made by any of the Customer’s Affiliates (or any other Third Party whom the Customer has permitted to use a Service or related equipment) to the extent that such claims exceed the financial caps and other limitations on liability as set out in the Agreement. The foregoing liabilities shall remain in full force and effect notwithstanding any termination of the Agreement.
