Common use of Customer Control and Responsibility Clause in Contracts

Customer Control and Responsibility. Customer has and will retain sole responsibility for: (a) all Customer Data, including its content and use; (b) all information, instructions and materials provided by or on behalf of Customer or any User in connection with the Services; (c) the Customer Systems; (d) the security and use of Customer's and its Users' access credentials; and (e) all access to and use of the Services and Dealer360 Materials directly or indirectly by or through the Customer Systems or its or its Users' access credentials, with or without Customer’s knowledge or consent, including all results obtained from, and all conclusions, decisions and actions based on, such access or use.

Customer has and will retain sole responsibility for: (a) all Customer Data, including its content and use; (b) all information, instructions and materials provided by or on behalf of Customer or any Authorized User in connection with the Services; (c) the Customer Systems; (d) the security and use of Customer's ’s and its Authorized Users' access credentials’ Access Credentials; and (e) all access to and use of the Services and Dealer360 Provider Materials directly or indirectly by or through the Customer Systems or its or its Authorized Users' access credentials’ Access Credentials, with or without Customer’s knowledge or consent, including all results obtained from, and all conclusions, decisions and actions based on, such access or use.

Customer has You have and will retain sole responsibility for: (ai) all Customer Data, including its content and use; (bii) all information, instructions instructions, technology, and other materials provided by or on behalf of Customer you or any User in connection with the ServicesSoftware; (ciii) the Customer Systems; (div) the security and use of Customer's and its Users' access credentials’ Access Credentials; and (ev) all access to and use of the Services Software and Dealer360 Materials SAFARI Montage Materials, directly or indirectly indirectly, by or through the Customer Systems or its or its your Users' access credentials’ Access Credentials, whether with or without Customer’s your knowledge or consent, including all results obtained from, from and all conclusions, decisions decisions, and actions based on, on such access or use.

Customer has You have and will retain sole responsibility for: (a) all Customer Dataof your data, including its content and use; (b) all information, instructions and materials provided by or on behalf of Customer or any User you in connection with the Akative Services; (c) your information technology infrastructure, including computers, software, databases, electronic systems (including database management systems) and networks, whether operated directly by you or through the use of third-party services ("Customer Systems; (d) the security and use of Customer's and its Users' access credentials"); and (ed) all access to and use of the Akative Services and Dealer360 Materials iStatus Software directly or indirectly by or through the Customer Systems or its or its Users' access credentialsSystems, with or without Customer’s your knowledge or consent, including all results obtained from, and all conclusions, decisions and actions based on, such access or use.
