Common use of Data Room Information Clause in Contracts

Data Room Information. All Purchaser Diligence Information provided is true and correct in all respects and does not contain any omissions as at its respective date as stated therein, or, if any Purchaser Diligence Information is undated, as of the date of its delivery to the data room for purposes of the transactions contemplated by this Agreement. The Purchaser Diligence Information includes complete and correct copies of the resolutions or minutes (or, in the case of draft minutes, the most recent drafts thereof) of all meetings of the Purchaser Shareholders, the Purchaser Board and each committee of the Purchaser Board, excluding any minutes (or portion thereof) of the Purchaser Board in relation to this Agreement, and the Purchaser has not taken any action to amend or supersede such documents. None of the Purchaser Diligence Information has been amended except as provided in the Purchaser Diligence Information. Additionally, all information provided to the Company in relation to the Company’s due diligence requests, including information not provided in the Purchaser Diligence Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to the Company. The Purchaser acknowledges that the Company is relying on all information provided by the Purchaser to them in entering into this Agreement.

All Purchaser Nomad Diligence Information provided is true and correct in all respects and does not contain any omissions as at its respective date as stated therein, or, if any Purchaser Nomad Diligence Information is undated, as of the date of its delivery to the data room for purposes of the transactions contemplated by this Agreement. The Purchaser Nomad Diligence Information includes complete and correct copies of the resolutions or minutes (or, in the case of draft minutes, the most recent drafts thereof) of all meetings of the Purchaser Nomad Shareholders, the Purchaser Nomad Board and each committee of the Purchaser Nomad Board, excluding any minutes (or portion thereof) of the Purchaser Nomad Board in relation to this Agreement, and the Purchaser Company has not taken any action to amend or supersede such documents. None of the Purchaser Nomad Diligence Information has been amended except as provided in the Purchaser Nomad Diligence Information. Additionally, all information provided to the Company Purchaser in relation to the CompanyPurchaser’s due diligence requests, including information not provided in the Purchaser Nomad Diligence Information, is true and correct in all respects and does not contain any omissions as at its respective date as stated therein and has not been amended except as provided to the CompanyPurchaser. The Purchaser Company acknowledges that the Company Purchaser is relying on all information provided by the Purchaser Company to them in entering into this Agreement.
