DDD. University" An Eligible Educational Institution which grants a four-year standard bachelor's degree. In the context of this document, any institution which includes "college" in its name and is otherwise eligible for this Program will be described as a "University", as long as it also grants a standard bachelor's degree.
DDD. REFERRAL means a referral from a PCP/CM for a member needing to access a specialist for a specified frequency or number of visits.
DDD. The plural of any defined term includes the singular, and vice versa, as made necessary in context.
DDD. In relation to what is indicated in section 5.3 a) (Initial Translation) the DDD and the Translator may withdraw from the Agreement without incurring any penalty and neither party to this Agreement may have any claim against the other parties.
DDD. During the period of exclusive distribution of the Audiobook by Tektime, as indicated in section 7 .4, it is strictly forbidden for the DDD to market, distribute or sell in any manner and form the Audiobook covered by this Agreement, in all the Territories established and indicated in Appendix A («Territories»). It will also not be possible for the DDD to grant third parties the right to market, distribute or sell the Audiobook subject to this Agreement in any manner and form, in all the Territories established and indicated in Appendix A («Territories»). The DDD will still be able to carry out audiobook promotion activities, advertising of any kind (internet, search engines, magazines, press, etc.) in order to encourage the purchase of the Audiobook distributed by Tektime.
DDD. Education conducted by In-Network Providers about managing chronic disease states such as diabetes or asthma.
DDD. During the period of exclusive distribution of the Translated Book by Tektime, as indicated in section 7 .4, the DDD is strictly prohibited from marketing, distributing or selling the Translated Book in any manner and form in the Language indicated in this Agreement, in all the Territories established and indicated in Appendix A ( “Territories” ). It will also not be possible for the DDD to grant third parties the right to market, distribute or sell the Translated Book in any manner and form in the Language indicated in this Agreement, in all the Territories established and indicated in Appendix A ( "Territories" ). The DDD may in any case carry out promotional activities for the Translated Book, advertising of any kind (internet, search engines, magazines, press, etc.) in order to encourage the purchase of the Translated Book distributed by Tektime.
DDD. The Settlement requires HC2 to fund directly total offset and release payments of $1,016,060—or $3.51 per share—to the Non-Tendered Stockholders. The Settlement also requires HC2 to transfer approximately $12.39 million from HC2’s Insurers to DBMG’s paying agent for the settlement payment to the Tendered Stockholders. Since HC2 is the 92.5% stockholder of DBMG, and taking into account the HC2 Offset Payment and HC2 Interest Offset Payment, HC2 is indirectly funding the approximately $8.055 million balance of the total payment of approximately $20.44 million to the Tendered Stockholders. In sum, Stockholders an indirect financial interest of $120,510 in the fees and interest DBMG is expected to pay prior to the October 1, 2021 maturity date for the DBMG Financing. Accordingly, the total amount of the HC2 Offset Payment and the HC2 Interest Offset Payment is $726,158. HC2 and HC2’s Insurers are bearing, directly and indirectly, the entirety of the approximately $21.36 million to be paid as settlement consideration.
DDD. “RESERVE” means a Flight Attendant who is awarded a Reserve line or assigned reserve duty in accordance with the provisions of this Agreement.
DDD. “Support” means the obligations of MasterCard contained in Section 2.
