COVERED BY THIS AGREEMENT. The parties to agreement share a desire to maintain and respect the professionalism of employees, to continue the effective performance of assigned duties in the work place and to promote the well-being members of the bargaining unit to the end that the Senate of Canada and the people of Canada will be well served. Accordingly, they are determined to establish within the framework provided :by law an effective working relationship at all levels of the Senate of Canada in which members of the bargaining unit are employed. For the purpose of this agreement "bargaining means the employees of the Employer in the Legislative Clerk Sub-group as described in the certificate issued by the Public Service Staff Relations Board on March 1987;

Under no circumstances shall Principal be liable for any indirect, consequential, collateral, special or incidental damages (including, without limitation, loss of profits or goodwill) whether such claim is based on contract, negligence, strict tort, warranty or any other basis. In no case will Principal's liability be greater than Xxxxx’s purchase price of the particular Equipment involved in any claim.

COVERED BY THIS AGREEMENT. This Settlement Agreement terminates and releases a11 the requirements of the Undertakings executed as a result of the previous change in control, except as specifically referenced herein and in Exhibit A hereto. This Settlement Agreement releases ABC and and their affiliates, successors and assigns from any further allegations, accusations or other regulatory action based on a claim of violation of any Undertaking terminated and released by this Agreement. Wellpoint, is not released from previous Undertaking 16, continuing as new Undertaking 3, as the parties to the original agreement made a commitment that spans 20 years from inception. This Settlement Agreement covers business practices that occurred prior to and including December 31,2008, that were the subject of the Undertakings; however, this Agreement does not release failure to implement the corrective actions submitted on October 3,2008 and December 17,2008. No audit has been concluded on those subject matters after that date and thus this Settlement Agreement does not encompass business practices following that date, except to the extent they are alleged to be a violation of an Undertaking released by this Agreement. Therefore, any surveys or examinations concluded following January 1,2009, are not settled by this agreement, except those directly related to the Undertakings.
A. This Settlement Agreement also concludes and settles open Enforcement Matter Nos. 05-213 (UT 6: Premiums); 07-273 (UT 2: Dividend); and 07-352 (UT Oncotype DX). This Settlement Agreement does not settle other open Enforcement Matters not related to the Undertakings. This Settlement Agreement does not disturb any previous agreement or Letters of Agreement between the parties.
B. This Settlement Agreement also concludes and settles all open Enforcement Matters related to grievances and appeals filed on or before December 31, 2008. Agreement Re: Taken at Time of Control Hatter No.: 40003 The grievance violations that are actionable following this Settlement Agreement are those in which a grievance was filed, or was attempted to be filed with ABC, on or after January 1,2009. Any complaints received by the Department that have not been fully investigated by any division of the Department are not settled by this Settlement Agreement, unless specifically referred to herein.
COVERED BY THIS AGREEMENT. For the purpose of thisAgreement, the words '*employee"or "Fire Fighter" shall mean each regular full time Fire Fighter of the Corporation's Fire Department, with the exception of the Fire Chief, the Deputy Fire Chief, and all Probationer Fire Fighters during the first three months of employment immediately following the completion of the basic training period, as provided in Article and the words "employees" or "Fire Fighters" shall have a corresponding meaning.
