Debt and Encumbrances. Evidence, reasonably satisfactory to the Buyer, that all Company Debt and all RE Company Debt has been repaid, discharged or otherwise satisfied at or prior to the Closing and that all Encumbrances relating to the assets of the Company and the RE Company shall have been released in full and Sellers shall have delivered to Buyers written evidence, in form satisfactory to Buyers in its sole discretion, of the release of such Encumbrances.
