Deduction and Reimbursement. Brackpool hereby agrees that the Company may deduct and withhold from the compensation payable to Brackpool hereunder any amounts of money required to be deducted or withheld by the Company under the provisions of any and all applicable local, state or federal statutes or regulations or any amendments thereto hereafter enacted requiring the withholding or deducting of compensation. In the event the Company makes any payments or incurs any charges for Brackpool's account, the Company shall have the right, and Brackpool hereby authorizes the Company, to deduct from any compensation payable to Brackpool hereunder any charges so paid or incurred by the Company, but such right of deduction shall not be deemed to limit or exclude any other rights of credit or recovery or any other remedies the Company otherwise may have. Nothing hereinabove set forth shall be deemed to obligate the Company to make any such payments or incur any such charges. If it is determined that such deduction is unauthorized, the Company agrees to reimburse Brackpool promptly, it being understood, however, that notwithstanding the determination that any deduction was unauthorized, the making of such deductions shall not be deemed to be a breach by the Company of any of its obligations to Brackpool hereunder.

Promptly after receipt thereof, the Agent shall transfer such funds to such Issuing Bank. Each Lender agrees to fund its Ratable Share of an outstanding Advance on (i) the Business Day on which demand therefor is made by such Issuing Bank, provided that notice of such demand is given not later than 11:00 A.M. (New York City time) on such Business Day, or (ii) the first Business Day next succeeding such demand if notice of such demand is given after such time. If and to the extent that any Lender shall not have so made the amount of such Advance available to the Agent, such Lender agrees to pay to the Agent forthwith on demand such amount together with interest thereon, for each day from the date of demand by any such Issuing Bank until the date such amount is paid to the Agent, at the Federal Funds Rate for its account or the account of such Issuing Bank, as applicable. If such Lender shall pay to the Agent such amount for the account of any such Issuing Bank on any Business Day, such amount so paid in respect of principal shall constitute an Advance made by such Lender on such Business Day for purposes of this Agreement, and the outstanding principal amount of the Advance made by such Issuing Bank shall be reduced by such amount on such Business Day.
