Deduction of Taxes. All taxes due from each Employee including taxes due by reason of payments for Vacation, Holiday and Sick Pay shall be deducted by each Employee’s Individual Employer from each Employee’s regular wages and such total tax deductions together with the amount payable for Vacation, Holiday and Sick Pay shall be separately noted on the Employee’s paycheck.
Deduction of Taxes. The Company shall have the right to deduct or withhold from the compensation due to Employee hereunder any and all sums required for Federal Income and Social Security taxes and all other federal, state or local taxes now applicable or that may be enacted and become applicable in the future.
Deduction of Taxes. 13.10.1 It shall be the sole responsibility of the Issuer to determine whether a deduction or withholding for or on account of Taxes is required from any payment to be made in respect of the Notes and to notify each Agent of any such deduction or withholding as may be required from any such payment in accordance with the provisions of this clause 13.10. It shall be the sole responsibility of each Agent to make any such deduction or withholding notified to it by the Issuer in respect of payments made by it, and account to the relevant Authority for the Taxes so deducted. The Issuer shall notify each relevant Agent, a minimum of 5 Business Days prior to the date on which any such payment is due in respect of which any such deduction or withholding for or on account of Taxes is required by any Applicable Law, of (i) the amount of such Taxes required to be deducted or withheld and (ii) the relevant Authority to whom such Taxes should be paid. The Issuer shall provide, in so far as it is reasonably able to do so, all information requested by such Agent to enable such Agent to make such withholding or deduction in respect of Taxes, and to pay such Taxes to the relevant Authority.
13.10.2 Any payment by an Agent under this Agreement in respect of the Notes shall be made without any deduction or withholding for or on account of any Taxes unless such deduction or withholding is required by any Applicable Law. Each Agent shall deduct or withhold any Taxes required to be deducted or withheld pursuant to any Applicable Law as may be notified by the Issuer to such Agent pursuant to clause 13.10.1 and shall timely account to the relevant Authority for the full amount of such Taxes as notified by the Issuer to such Agent pursuant to clause 13.10.1 If any Agent is required to make a deduction or withholding for or on account of Taxes pursuant to any Applicable Law as referred to above, it will not pay an additional amount in respect of that deduction or withholding to the Issuer.
13.10.3 If the Issuer fails to notify any Agent of any Taxes required to be deducted or withheld from a payment to be made by it in respect of the Notes pursuant to any Applicable Law pursuant to clause 13.10.1, and such Agent is assessed to Tax by any Authority in respect of such Taxes, the Issuer shall reimburse such Agent for such amount of Tax to which it is assessed. Deduction of Taxes. Each Employer may deduct from any amounts required to be paid to the Employee under this Agreement any amounts required to be withheld by the Employer pursuant to federal, state, or local law relating to taxes or related payroll deductions.
Deduction of Taxes. Any and all payments by the Borrower under each Revolving Loan Document shall be made free and clear of and without deduction for any and all present or future taxes, levies, imposts, deductions, charges or withholdings, and all liabilities with respect thereto, excluding (i) in the case of each Lender and the Administrative Agent (A) taxes measured by its net income or net profit, and franchise taxes imposed on it, by the jurisdiction (or any political subdivision thereof) under the laws of which such Lender or the Administrative Agent (as the case may be) is organized or doing business and (B) any United States withholding taxes payable with respect to payments under the Loan Documents under Requirement of Laws in effect on the Effective Date (or, in the case of an Eligible Assignee, the date of the Assignment and Acceptance) applicable to such Lender or the Administrative Agent, as the case may be, but not excluding any United States withholding taxes payable as a result of any change in such Requirement of Laws occurring after the Effective Date (or the date of such Assignment and Acceptance) and (ii) in the case of each Lender, taxes measured by its net income or net profit, and franchise taxes imposed on it, by the jurisdiction in which such Lender's Applicable Lending Office is located (all such non-excluded taxes, levies, imposts, deductions, charges, withholdings and liabilities being hereinafter referred to as "Taxes"). If any Taxes shall be required by any Requirement of Law to be deducted from, or in respect of, any sum payable under any Loan Document to any Lender or the Administrative Agent (w) the sum payable shall be increased as may be necessary so that after making all required deductions (including deductions applicable to additional sums payable under this Section 2.17) such Lender or the Administrative Agent (as the case may be) receives an amount equal to the sum it would have received had no such deductions been made, (x) the Borrower shall make such deductions, (y) the Borrower shall pay the full amount deducted to the relevant taxing authority or other authority in accordance with applicable Requirements of Law and (z) the Borrower shall deliver to the Administrative Agent evidence of such payment.

Any income or other tax which Licensee is required to withhold and pay on behalf of Licensor with respect to the royalties payable to Licensor under this Agreement shall be deducted from such royalties prior to remittance to Licensor; provided, however, that in regard to any tax so deducted, Licensee shall give Licensor such assistance as may reasonably be necessary to enable Licensor to claim exemption therefrom. In each case Licensee shall furnish Licensor with proper evidence of the taxes so paid on its behalf.

In each case Licensee shall furnish OMRF with proper evidence of the taxes so paid on its behalf.

Deduction of Taxes. If the Fiscal Agent is required by law to deduct any Taxes from or in respect of any amount to be distributed by the Fiscal Agent or the Securities Intermediary hereunder to any Claim Holder, the Fiscal Agent shall make such deduction and shall pay such Taxes directly to the relevant taxing authority in accordance with Applicable Law. Within 30 days after the payment of any Taxes by the Fiscal Agent, the Fiscal Agent shall promptly deliver to the relevant Claim Holder the original or a certified copy of any receipts evidencing payment of any Taxes so paid.
