Defense After Receipt of New Information Notice. Within 30 days after the Indemnified Party receives a New Information Notice, the Indemnified Party must deliver to the Indemnifying Party a written notice in which the Indemnified Party indicates whether it will (A) assume the sole defense of the Reserved Claim (a “New Information Assumption Notice”), or (B) decline to assume the sole defense of the Reserved Claim. If the Indemnifying Party does not receive such a written notice within such 30 day period, then the Indemnified Party will be deemed to have declined to assume the sole defense of the Reserved Claim pursuant to the preceding sentence. If the Indemnified Party delivers a New Information Assumption Notice, then it will be prohibited from seeking indemnification under Article XIV with respect to such Reserved Claim. If the Indemnified Party declines to assume the sole defense of the Reserved Claim, then the delivery of the New Information Notice will have no effect on the rights and obligations of the Indemnifying Party and Indemnified Party under this Section 14.3(a).

  • Right to Make Copies DSI shall have the right to make copies of the Deposit Materials as reasonably necessary to perform this Agreement. DSI shall copy all copyright, nondisclosure, and other proprietary notices and titles contained on the Deposit Materials onto any copies made by DSI. With all Deposit Materials submitted to DSI, Depositor shall provide any and all instructions as may be necessary to duplicate the Deposit Materials including but not limited to the hardware and/or software needed.
