Defense in the Royalty Bearing Territory. If a Third Party ---------------------------------------- asserts that a patent, trademark or other intangible right owned by it is infringed by any Royalty Bearing Product in the Royalty Bearing Territory, ORTHO will be solely responsible for defending against any such assertions at its cost and expense, but no settlement may be entered into without the written consent of CTI if such settlement would materially and adversely affect CTI's interests. The costs of any such action incurred by ORTHO (including the costs of any judgment, award, decree or settlement) will be charged against Royalty Bearing Sales.
