Deferral and Advancement of Amortisation Payments. (i) At any time prior to the completion of an initial public offering in the United States by the Issuer (the “IPO”), the Issuer may, at its option, exercise its right to defer up to one (1) upcoming Amortisation Payment Date to the Original Maturity Date (the “Pre-IPO Deferred Payment”) by giving notice thereof to the Noteholders in accordance with Condition 15.9 (Notices) at least three (3) Business Days prior to the relevant Amortisation Payment Date (the “Issuer IPO Deferral Right”). If the Issuer exercises the Issuer IPO Deferral Right, and, thereafter, does not complete the IPO within three (3) months of the date of such exercise of the Issuer IPO Deferral Right (such three (3)-month period, the “IPO Period”), the Noteholders representing the Majority Noteholders shall have the right, during the nine (9) months period following the IPO Period, by giving notice thereof to the Issuer in accordance with Condition 15.9 (Notices) at least three (3) Business Days prior to the relevant Pre-IPO Deferred Payment Acceleration Option Amortisation Date, to bring forward the Pre-IPO Deferred Payment to the Pre-IPO Deferred Payment Acceleration Option Amortisation Date (as defined below) (the “Pre-IPO Deferred Payment Acceleration Option”). “Pre-IPO Deferred Payment Acceleration Option Amortisation Date” means the Scheduled Amortisation Payment Date immediately following the date on which the notice of exercise of the Pre-IPO Deferred Payment Acceleration Option is given in accordance with this Condition 9.1.3(i);

Deferral and Advancement of Amortisation Payments. (i) The Majority Bondholders may, by giving notice thereof to the Issuer at least three Notice Business Days prior to a Scheduled Amortisation Payment Date, exercise the right of the Bondholders to defer the Amortised Payment Amount in respect of such Scheduled Amortisation Payment Date and each Bond outstanding at such time so that such payment shall not be payable on its Scheduled Amortisation Payment Date and instead shall become payable on such subsequent Scheduled Amortisation Payment Date as is specified in such notice (an “Amortised Payment Deferral”). The Majority Bondholders may exercise their right to defer Amortised Payment Amounts under this Condition 7.1(c)(i) in respect of a maximum of two Scheduled Amortisation Payment Dates during the term of the Bonds. (ii) Subject to paragraph (iii) below, the Majority Bondholders may, by giving not less than three Notice Business Days’ notice to the Issuer, exercise their right to bring forward the payment of some or all future Amortised Payment Amounts such that the relevant Amortised Payment Amount(s) in relation to the following Scheduled Amortisation Payment Date(s) shall become payable on the date specified in such notice (an “Accelerated Amortisation Payment Date”, which shall be not earlier than three Notice Business Days following the date of such notice) (an “Amortised Payment Advancement”). In relation to an Amortised Payment Advancement, except if (A) the Issuer shall elect (in its sole discretion in accordance with Condition 7.1(a)) to satisfy its obligation to make payment on such Amortisation Payment Date by paying the Amortised Payment Amount in cash (in accordance with Condition 7.1(a)) or (B) an ADS Settlement Liquidity Event is occurring or occurs prior to the issue or transfer and delivery of the relevant Deliverable ADSs (in which case, in the case of (A) or (B) the Amortised Payment Amount shall be paid by the Issuer in cash), then in respect of the Principal ADS Settlement Option the calculation of the relevant Deliverable ADSs which shall be issued or delivered to the Bondholders shall be determined as if such Accelerated Amortisation Payment Date was the immediately preceding Scheduled Amortisation Payment Date (and if there shall have occurred an event or circumstance requiring an adjustment to the Reference Conversion Price in accordance with Condition 6 after the Scheduled Amortisation Payment Date immediately preceding the relevant Accelerated Amortisation Payment Date, then s...

  • Compensation & Payment 8.4.1. Should the claim be found proven; settlement is executed only in the form of compensation payment added to the Client trade account. 8.4.2. Compensation shall not compensate the profit not received by the Client in the event that the Client had an intention to perform some action but has not performed it for some reason. 8.4.3.   • Incentive Payments The Settlement Fund Administrator will treat incentive payments under Section IV.F on a State-specific basis. Incentive payments for which a Settling State is eligible under Section IV.F will be allocated fifteen percent (15%) to its State Fund, seventy percent (70%) to its Abatement Accounts Fund, and fifteen percent (15%) to its Subdivision Fund.   • Separation Payments Following Executive’s separation from service with Company on or after his Vesting Date (as defined in Section 7), Company shall pay to Executive the sum of THIRTY-SEVEN THOUSAND THREE HUNDRED SIXTEEN and 74/100 Dollars ($37,316.74) per month, beginning six months and one week after Executive’s date of separation for a period of ten (10) years, or until Executive’s death, whichever first occurs (the “Separation Payments”). Such payments shall be subject to any and all applicable withholding, Social Security, employment, income and other taxes or assessments, if any, under the applicable tax law. If Executive should die during the ten-year period during which payments are being made under this Paragraph 3, then those payments shall terminate and future payments, if any, shall be made to Executive’s designated beneficiary(ies) or Executive’s estate in accordance with the provisions of Paragraph 4 of this Agreement.

  • Income Payments (a) Where a particular term of a Transaction extends over the date on which Income is paid in respect of any Purchased Asset subject to that Transaction, such Income shall be the property of Buyer. The Seller shall (i) segregate all Income collected by or on behalf of the Seller on account of the Purchased Assets and shall hold such Income in trust for the benefit of Buyer that is clearly marked as such in the Seller’s records and (ii) deposit all Income with respect to each Purchased Asset after the related Purchase Date and before the related Repurchase Date into the Collection Account within three (3) Business Days of receipt. Notwithstanding the foregoing, so long as no Event of Default has occurred and is continuing, neither Seller nor any Person acting on its behalf (as a servicer or otherwise) shall have an obligation to deposit any amounts into the Collection Account; provided that any Income received by the Seller while the related Transaction is outstanding shall be deemed to be held by the Seller solely in trust for Buyer pending the repurchase on the related Repurchase Date. (b) Notwithstanding anything to the contrary set forth herein, upon receipt by Seller of any prepayment of principal in full with respect to a Purchased Asset, Seller shall (i) provide prompt written notice to Buyer of such prepayment, and (ii) remit such amount to Buyer and Buyer shall apply such amount received by Buyer plus accrued interest on such amount against the Repurchase Price of such Purchased Asset pursuant to Sections 4(a)(i) and 6(d) but not on a pro rata basis.

  • Indemnification Payments The indemnification required by Sections 6.1 and Section 6.2 shall be made by periodic payments of the amount thereof during the course of the investigation or defense, as and when bills are received or expense, loss, damage or liability is incurred.

  • Compensation Other Than Severance Payments 4.1 If the Executive’s employment shall be terminated for any reason following a Change in Control, the Company shall pay the Executive’s full salary to the Executive through the Date of Termination at the rate in effect immediately prior to the Date of Termination or, if Section 18(n)(ii) is applicable as an event or circumstance constituting Good Reason, the rate in effect immediately prior to such event or circumstance, together with all compensation and benefits payable to the Executive through the Date of Termination under the terms of the Company’s compensation and benefit plans, programs or arrangements as in effect immediately prior to the Date of Termination (or, if more favorable to the Executive, as in effect immediately prior to the first occurrence of an event or circumstance constituting Good Reason). In addition, if the Executive’s employment is terminated for any reason following a Change in Control other than (a) by the Company for Cause and (b) by the Executive without Good Reason, then the Company shall pay a pro-rata portion of the Executive’s annual bonus for the performance year in which such termination occurs to the Executive on the later of (x) the date that annual bonuses are generally paid to other senior executives and (y) the date that is the first business day after the date that is six months after the Date of Termination. This pro-rata bonus shall be determined by multiplying the amount the Executive would have received based upon actual financial performance through such termination, as reasonably determined by the Company, by a fraction, the numerator of which is the number of days during such performance year that the Executive is employed by the Company and the denominator of which is 365. 4.2 If the Executive’s employment shall be terminated for any reason following a Change in Control, the Company shall pay to the Executive the Executive’s normal post-termination compensation and benefits as such payments become due. Such post-termination compensation and benefits shall be determined under, and paid in accordance with, the Company’s retirement, insurance and other compensation or benefit plans, programs and arrangements as in effect immediately prior to the Date of Termination or, if more favorable to the Executive, as in effect immediately prior to the occurrence of the first event or circumstance constituting Good Reason.

  • Termination; Advance Payments Upon termination of this Lease pursuant to Paragraph 6.2(g) or Paragraph 9, an equitable adjustment shall be made concerning advance Base Rent and any other advance payments made by Lessee to Lessor. Lessor shall, in addition, return to Lessee so much of Lessee's Security Deposit as has not been, or is not then required to be, used by Lessor.

  • Other Compensation or Benefits You acknowledge that, except as expressly provided in this Agreement, you will not receive any additional compensation, severance or benefits after the Separation Date.

  • Sharing of Reimbursement Obligation Payments Whenever the Agent receives a payment from the Borrower on account of reimbursement obligations in respect of a Letter of Credit or Credit Support as to which the Agent has previously received for the account of the Letter of Credit Issuer thereof payment from a Lender, the Agent shall promptly pay to such Lender such Lender’s Pro Rata Share of such payment from the Borrower. Each such payment shall be made by the Agent on the next Settlement Date.
