Delinquent and Wrongful Acts. 22.1 To the Seller’s Knowledge, no member of the Seller’s Group has, during the Relevant Period, committed any criminal or illegal act which relates to the Target Group Companies or the Target Group Businesses.
Delinquent and Wrongful Acts. 16.1 The Company has not committed or is liable for any criminal, illegal, unlawful or unauthorised act or breach of any obligation or duty whether imposed by or pursuant to statute, contract or otherwise, and no claim that it has or is remains outstanding against the Company.
Delinquent and Wrongful Acts. 21.1 To the Seller’s Knowledge, no member of the Seller’s Group has, during the Relevant Period, committed any criminal or illegal act which relates to the Vaccines Group Companies or the Vaccines Group Businesses.
Delinquent and Wrongful Acts. (A) No Company nor any member of the Vendor's Group (in relation to the Transferring Business) nor any of their respective officers, agents or employees (in the course of their duties) has done or omitted to do anything which is a contravention of any statute, law or regulation in any relevant jurisdiction which is likely to give rise to any fine, 110 penalty or other liability or sanction on any Company or any such member of the Vendor's Group.
Delinquent and Wrongful Acts. 9.1 So far as ABT is aware (having made no specific enquiry other than of Kevix Xxxxxxxx), xhe Company has not committed or is liable for any criminal, illegal, unlawful or unauthorised act or breach of any obligation or duty whether imposed by or pursuant to statute, contract or otherwise.
Delinquent and Wrongful Acts. 11.1 So far as the Seller is aware, no member of the GSK Group (in relation to the Business), has during the Relevant Period committed any criminal or illegal act which is material to the Business.
Delinquent and Wrongful Acts. 15.1 Opsys UK has not committed nor is it liable for any criminal, illegal, unlawful or unauthorised act or breach of any obligation or duty whether imposed by or pursuant to statute, contract or otherwise, and no claim that it has or is remains outstanding against Opsys UK.
Delinquent and Wrongful Acts. 16.1 So far as the Seller is aware, neither the Company nor any member of the Seller’s Group has committed and/or is not liable for any criminal, illegal, unlawful or unauthorised act or breach of any obligation or duty whether imposed by or pursuant to statute, contract or otherwise in respect of the Business, and no claim that the Company nor any member of the Seller’s Group has remains outstanding.
Delinquent and Wrongful Acts. (A) So far as the Vendor is aware, the Company is not, and has not in the twelve months preceding the date of this Agreement been, in material violation of applicable law or regulations.
Delinquent and Wrongful Acts. (A) Neither the Company nor any Business Seller (in relation to the Business) has committed any criminal or illegal act which would give rise to a liability in excess of E100,000 for the European Culinary Brands Business.
