Transferring Business definition

Transferring Business means the Med-Mal Business as carried on by the Transferor on the Scheme Effective Date insofar as it comprises the Transferring Policies, the Transferring Assets, the Transferring Liabilities and the Transferring Contracts;

Examples of Transferring Business in a sentence

Transferring Business means, as at the Relevant Date, the part of the business of the Transferor which comprises the EEA Business;

Transferring Business means all the plant, machinery and other equipment PLANT AND MACHINERY" (including, without limitation, furniture, vehicles, spares, loose tools, fittings, partitioning and other items) owned or leased by (a) any member of the Vendor's Group and which are used wholly or predominantly in the Transferring Business or (b) a Company, in each case, at Completion;
Transferring Business means the UK portfolio of general insurance and reinsurance business of the Transferor to be transferred to the Transferee pursuant to this Scheme, together with all activities carried on by the Transferor in relation or in connection thereto, and the Transferring Assets and the Transferring Liabilities, in each case to the extent not previously transferred to the Transferee on or following the relevant Subsequent Transfer Date, but in all cases excluding the Excluded Policies, Excluded Assets, Excluded Liabilities, Residual Policies, Residual Assets and Residual Liabilities;
Transferring Business means the entire business of SVB UK Branch carried on prior to the Transfer Date that does not constitute Excluded Business, together with all business ancillary thereto and all assets, rights, liabilities, transactions or arrangements held by or on behalf of SVB UK Branch from time to time, including without limitation all activities, information, records, products and services carried on in connection with or for the purposes of any such business;
Transferring Business means the whole of the long-term insurance business of FACL (including the business of FACL relating to the Bond Portfolio) carried on as at the Transfer Date (including effecting or carrying out the Transferring Insurances, all activities carried on in connection with or for the purposes of FACL’s long-term insurance business, and any proposals for insurance not yet accepted) save to the extent that such business relates to the Retained Insurances or to the carrying on of insurance business in any jurisdiction to the extent that, if carried on prior to the Transfer Date, it would have resulted in the issue of further Retained Insurances;
