Delinquent Notice. If any Member (a “Delinquent Member”) fails to make any Capital Contributions required under Section 2.3 when due (a “Delinquent Amount”), and if the other Member (the “Non-Delinquent Member”) has funded its required Capital Contributions under Section 2.3, then the Non-Delinquent Member, may give written notice (a “Delinquency Notice”) to the Delinquent Member, setting forth the Delinquent Amount. From and after the Delinquency Notice and until such time, if any, as the Delinquent Member’s failure to fund the Delinquent Amount has been fully cured in accordance with Section 2.4(d), the Delinquent Member shall have no voting, consent, or approval rights hereunder with respect to matters that are otherwise subject to the Membersconsent or approval under this Agreement and, notwithstanding anything in this Agreement to the contrary, such Delinquent Member shall not be considered for purposes of satisfying any quorum, voting, consent, or approval requirements, including, without limitation, any requirement for unanimous consent of approval.

After an Event of Default has been waived, the interest rate applicable to advances and the LC Fee shall revert to the rates applicable prior to the occurrence of an Event of Default.
