Delivery and Capacity. (a) The Company acknowledges that it bears the responsibility for issuing the Securities under this Agreement and must be able to deliver the Securities in accordance with this Agreement, and must obtain such Shareholder Approval as may be required for the relevant issue of any Securities under this Agreement or the Option Deed.
