Delivery by Xxxxxxxxx. This Agreement and any signed agreement or instrument entered into in connection with this Agreement or contemplated hereby, and any amendments hereto or thereto, to the extent signed and delivered by means of a facsimile machine or electronic transmission (i.e., in portable document format), shall be treated in all manner and respects as an original agreement or instrument and shall be considered to have the same binding legal effect as if it were the original signed version thereof delivered in person. At the request of any party hereto or to any such agreement or instrument, each other party hereto or thereto shall re-execute original forms thereof and deliver them to all other parties. No party hereto or to any such agreement or instrument shall raise the use of a facsimile machine or electronic transmission to deliver a signature or the fact that any signature or agreement or instrument was transmitted or communicated through the use of a facsimile machine or electronic transmission as a defense to the formation of a contract and each such party forever waives any such defense.

The delivery of this Warrant and the subscription form as contemplated above upon the exercise hereof may be made by facsimile transmission to such facsimile number as the Company shall provide upon request of Holder for such purpose. If this Warrant and/or the subscription form is delivered to the Company by facsimile transmission, Holder shall send the original documents to the Company within three (3) Business Days after delivery of such documents by facsimile transmission to the Company; provided, however, that any failure or delay on the part of Holder in delivering the originals of such documents shall not affect the validity or the date on which this Warrant and the subscription form were delivered by facsimile transmission or the effectiveness thereof.
