Delivery Fee. C2.1 Subject to Clause H4.3, Clause C6 and Clause H7.1 and provided that the requirements of Schedule 7.1 (Fees and Payment) are met the Authority shall pay the Delivery Fee to the Supplier. Delivery Fee. No later than five (5) calendar days after the date of this Agreement, the Buyer shall pay a fee (the “Delivery Fee”) to the Seller in an amount equal to $100,000.00. In the event that the Buyer executes and delivers the Promissory Note on the Closing Date, the Delivery Fee shall be credited against the Facility Fee (as defined below).
Delivery Fee. The Company shall pay a fee of $500 to the Escrow Agent each time during the term of the Agreement in which the Escrow Agent delivers any of the Escrow Shares. In addition, the Company agrees to pay the Escrow Agent’s costs and expenses including reasonable attorney’s fees in the event of any dispute or litigation threatened or commenced which requires the Escrow Agent in its opinion to refer such matter to its attorneys and all wire fees, packaging and postal fees and expenses (including FedEx). Escrow Agent will incur no liability for any delay reasonably required to obtain such advice of counsel.
Delivery Fee. A delivery fee may be added to your order. Any such fee is not a gratuity for the delivery personnel who delivers or is otherwise involved with the delivery of your order and will not be given to any such delivery personnel as a gratuity.

Delivery Fee. In consideration of the performance by ArQule of the Directed Array (tm) Program, Sankyo shall pay ArQule a delivery fee equal to $1,000,000 per Directed Array (tm) Program during the first Contract Year, payable one-third (1/3) upon commencement of the first Directed Array (tm) Program and two-thirds (2/3) within thirty (30) days of the delivery of the final Directed Array (tm) to be provided by ArQule in the first Contract Year. Thereafter, Sankyo shall make the following annual payment to ArQule during each Contract Year, payable one-third (1/3) on the first day of such Contract Year and two-thirds (2/3) within thirty (30) days of the delivery of the Directed Arrays (tm) to be provided by ArQule in such Contract Year: Annual Payment = $1,000,000 x (1 + CPI) Notwithstanding the foregoing, if the number of Active Compounds submitted to all Directed Array (tm) Programs exceeds six (6) for the first three (3) Contract Years, the Parties shall use their respective best efforts to negotiate a discount for all such additional Active Compounds submitted to the Directed Array (tm) Program.
