DELIVERY OF DEFERRED CONSIDERATION. 3.1 METHOD OF DELIVERY OF DEFERRED CONSIDERATION At least three (3) Business Days prior to the Deferred Consideration Payment Date determined in accordance with the Arrangement Agreement, Akerna shall provide the Rights Agent with a written notice setting out the Deferred Consideration Payment Date, the amount and kind of Deferred Consideration to be issued to the Holders in accordance with the Deferred Consideration Statement finally determined in accordance with the Arrangement Agreement, together with a detailed description of the calculation thereof in accordance with Section 3.2.

DELIVERY OF DEFERRED CONSIDERATION. The Deferred Consideration shall be calculated by reference to a FY Revenue Statement prepared and determined or agreed on the same basis as set out in clause 2.3 in respect to Initial Consideration, save that references to FY 2005 shall instead be FY 2006 as to Consideration After Year 1 and FY 2007 as to Consideration After Year 2. The Deferred Consideration, subject to any adjustments as a result of clause 1.4 shall be paid or satisfied by NetSol within 15 Business Days of the determination or agreement of the Deferred Consideration but no later than July 1, 2007 with respect to the Consideration after Year 2 and no later than July 1, 2008 with respect to the Consideration after Year 3.

  • Delivery of Shares Tendered in Payment of Purchase Price If the Optionee exercises this option by delivery of shares of Common Stock of the Company, the certificate or certificates representing the shares of Common Stock of the Company to be delivered shall be duly executed in blank by the Optionee or shall be accompanied by a stock power duly executed in blank suitable for purposes of transferring such shares to the Company. Fractional shares of Common Stock of the Company will not be accepted in payment of the purchase price of shares acquired upon exercise of this option.

  • Payment of Consideration The Consideration shall be paid to the Contributor in the following manner:
