Delivery of Document. Deed Document No. 9186-46, in the form of a grant deed covering the property particularly described therein has been executed and delivered by Grantor to Xxxx Xxxxxxx, Real Estate Agent for Valley Water for the purpose of conveying said property to Valley Water. In consideration of which, and the other considerations hereinafter set forth, it is mutually agreed as follows:
A. The parties have herein set forth the whole of their agreement. The performance of this agreement constitutes the entire consideration for said document and shall relieve the Valley Water of all further obligation or claims on this account, or on account of the location or construction of the proposed public improvement.
B. Valley Water requires property interests described in Deed Document No. 9186-46 for Valley Water purposes, a public use for which Valley Water has the authority to exercise the power of eminent domain. Grantor is compelled to sell, and Valley Water is compelled to acquire the property. Both Grantor and Valley Water recognize the expense, time, effort, and risk to both parties in determining the compensation for the property by eminent domain litigation. Delivery of Document. Immediately upon Lender's receipt of the Pay-Off Amount, Lender shall direct Exxxx Xxxx, Esq. to deliver the document set forth in Paragraph 3.A. above to Borrower.
Delivery of Document. Agent agrees to promptly provide each -------------------- Lender with copies of (a) this Agreement and the other Transaction Documents (including any amendments thereto), (b) any default notices sent by Agent to Borrower or any other Obligor with respect to this Agreement or any of the other Transaction Documents, (c) any waivers or consents signed by Agent or otherwise sent by Agent to any Borrower or any other Obligor with respect to this Agreement or any of the other Transaction Documents, (d) any notices of default sent by Borrower or any other Obligor to Agent with respect to this Agreement or any of the other Transaction Documents and (e) any requests for any amendments, waivers or consents sent to Agent by any Borrower or any other Obligor with respect to this Agreement or any of the other Transaction Documents. Agent agrees to provide each Lender, within seven (7) Business Days after written request by such Lender and at such Lender's expense, a copy of such other information, reports, certificates and/or other materials prepared by Borrower or otherwise required by the Transaction Documents and which are in the possession of Agent which are reasonably requested by such Lender in writing.

Delivery of Document. This First Amendment shall have been executed by the Company, Syndication Agent and each Bank and shall have been delivered to the Administrative Agent.
Delivery of Document. If required by the Issuer every Bondholder whose Bond is due to be redeemed under these Conditions shall not later than the due date for such redemption deliver up any such document(s) as may be required by the Issuer.
Delivery of Document. The Trust will promptly deliver to the Administrator copies of each of the following documents and all future amendments and supplements, if any:
a. The Trust's Declaration and by-laws;
b. The Trust's currently effective registration statement under the Securities Act of 1933, as amended (the "1933 Act"), and the 1940 Act and the Trust's Prospectus(es) and Statement(s) of Additional Information relating to all Investment Funds and all amendments and supplements thereto as in effect from time to time;
c. Certified copies of the resolutions of the Board of Trustees of the Trust (the "Board") authorizing (1) the Trust to enter into this Agreement and (2) certain individuals or entities on behalf of the Trust to (a) give instructions to the Administrator pursuant to this Agreement and (b) sign checks and pay expenses ("Authorized Persons");
d. A copy of the investment advisory agreement between the Trust and its investment adviser; and
e. Such other certificates, documents or opinions which the Administrator reasonably believes to be necessary or appropriate in the proper performance of its duties, subject to the consent of Trust which shall not be unreasonably withheld.
