DELIVERY OF MATERIALS FOR REVIEW. On or before the date which is five (5) days after the Effective Date, Seller shall deliver to Buyer at Buyer’s address set forth in Section 1 above, the materials listed on Exhibit B (collectively, the “Documents”) for Buyer's review, to the extent the same are in Seller's possession. In the alternative, at Seller’s option and within the foregoing five (5) day period, Seller may make the Documents available to Buyer on a secure web site, and in such event, Buyer agrees that any item to be delivered by Seller under this Agreement shall be deemed delivered to the extent available to Buyer on such secured web site. Without limitation on the foregoing, Seller shall make any other documents, files and information reasonably requested by Buyer concerning the Property and which are in Seller’s possession or control available for Buyer’s inspection at Seller’s general offices or such other location as shall be mutually convenient to the parties.

In the alternative, at Seller’s Sellers' option and within the foregoing five (5) day period, Seller Sellers may make the Documents which are in Sellers' possession available to Buyer on a secure web site, and in such event, Buyer agrees that any item to be delivered by Seller Sellers under this Agreement shall be deemed delivered to the extent available to Buyer on such secured web site. Without limitation on the foregoing, Seller Sellers shall make any other documents, files and information reasonably requested by Buyer concerning the Property and which are in Seller’s Sellers’ possession or control available for Buyer’s inspection at Seller’s Sellers’ general offices or such other location as shall be mutually convenient to the parties. Sellers make no representation as to the accuracy or completeness of any of the Documents that were not prepared by any Seller.

In the alternative, at Seller’s Sellers’ option and within the foregoing five (5) day period, Seller Sellers may make the Documents available to Buyer on a secure web site, and in such event, Buyer agrees that any item to be delivered by Seller under this Agreement shall be deemed delivered to the extent available to Buyer on such secured web site. Without limitation on the foregoing, Seller Sellers shall make any other documents, files and information reasonably requested by Buyer concerning the Property and which are in Seller’s Sellers’ possession or control available for Buyer’s inspection at Seller’s general offices or such other location as shall be mutually convenient to the parties.
