Delivery of Operating Phase Licence. Not later than 1 Month prior to the expected Date of Commercial Acceptance, the Operator must prepare and deliver to the State for review, 3 counterparts of the Operating Phase Licence which: (i) are in the form contained in Schedule 14 (Operating Phase Licence); (ii) include as an annexure, the Site Plans for the Stadium and Sports Precinct; and (iii) are: (A) executed by the Operator; and (B) complete, except for those matters that the State is authorised to complete in accordance with Clause 7.3(c).

Delivery of Operating Phase Licence. Not later than 1 Month prior to the expected Date of Commercial Acceptance, Project Co must prepare and deliver to the State for review in accordance with Schedule 3 (Review Procedures), 3 counterparts of the Operating Phase Licence which: (i) are in the form contained in Schedule 20 (Operating Phase Licence); (ii) include as an annexure, the Operating Phase Site Plan for the Stadium and Sports Precinct prepared and certified by a licensed surveyor; (iii) are: (A) executed by Project Co; and (B) complete, except for those matters that the State is authorised to complete in accordance with Clause 7.6(c); and (iv) are accompanied by a legal opinion given for the benefit of the State from solicitors acting for Project Co as to: (A) the legal capacity and corporate power of Project Co to enter into and perform its obligations in accordance with the Operating Phase Licence; (B) the enforceability of the Operating Phase Licence against Project Co; and (C) due execution of the Operating Phase Licence by Project Co.

  • Maintenance of Operations The Company shall maintain operations at the Project for a minimum of ten (10) years beginning on the date the Project is Placed in Service. In addition to any other rights the Department may have under the terms of this Agreement, in the event that the Company discontinues of operations at the Project, such discontinuation may subject the Company to certain statutory provisions, including: 1. Pursuant to the Corporate Accountability for Tax Expenditures Act, 20 ILCS 715, et seq., a discontinuance of operations at the Project during the five-year period after the beginning of the first Taxable Year for which the Department issues a Certificate of Verification shall result in all Credits taken by the Company during such five-year period being deemed Wrongfully Exempted Illinois State Income Taxes and shall subject said Wrongfully Exempted Illinois State Income Taxes to the forfeiture provisions of Section VIII.D hereof. 2. Pursuant to Section 5-65 of the Act, discontinuance by the Company of operations at the Project during the term of this Agreement with the intent to terminate operations in the State of Illinois shall result in all Credits taken by the Company being deemed Wrongfully Exempted Illinois State Income Taxes and shall subject said Wrongfully Exempted Illinois State Income Taxes to the forfeiture provisions of Section VIII.D hereof.

  • Duration of Operating Expense Limit The Operating Expense Limit with respect to the Fund shall remain in effect during the term of this Agreement.

  • PERIOD OF OPERATION Subject to certification, this Agreement shall come into force from the first pay period commencing on or after 1st December 2002 and shall remain in force until 31 October 2005.

  • Payment for Material Completion The Contractor may request payment of the remaining contract balance, including retainage, less amounts credited the Owner or incurred as liquidated damages, and less amounts withheld for the Punchlist by reason of Minor Items or Permitted Incomplete Work (See Paragraph 6.5.3.2). Payment for Material Completion shall be made by a check payable jointly to the Contractor and Surety and shall be mailed to the Surety.
