Demands for Registration. 1.1 DEMAND PERIOD From the date hereof, until the date which is four years from the date hereof (the "Demand Period"), subject to the terms and conditions of this Registration Rights Agreement, NHOB and the Permitted Transferees will have in the aggregate three opportunities, in addition to other rights enumerated in this Registration Pights Agreement, to request registration under the Securities Act of all or part of itsRegisterable Securities (a "Demand Registration"). The Holders of 50% or more of the Registerable Securities shall have the right to exercise the registration rights under this Section 3.
Demands for Registration. (a) To exercise its demand ------------------------ registration rights under Section 2.02, a Holder or, in the case of the exercise of rights hereunder by any Holder that is a Xxxx Entity or a Permitted Transferee of a Xxxx Entity, the Xxxx Group, shall give written notice (a "Demand") requesting that the Company effect the registration under the ------- Securities Act of all or part of the Registrable Securities held by it in an amount not less than the greater of $10,000,000 in Market Value of the Registrable Securities as of the day of the request or 2% of the total issued and outstanding shares of Common Stock on such date (a "Demand Registration"), ------------------- which demand shall specify the amount of Registrable Securities to be registered, the computation of shares eligible for exempt public resale pursuant to subsection (ii) of the Registrable Securities definition in Section 1.01 and intended method or methods of disposition of such Registrable Securities, which disposition shall be for cash and may be by means of either an underwritten offering or, after the Company is eligible to use an abbreviated Registration Statement on Form S-3 or any successor Form, offering on a delayed or continuous basis pursuant to or in reliance on Rule 415 of the Securities Act, as amended from time to time after the execution date of this Agreement or any similar or successor provision under the Securities Act. Upon receipt of such Demand, the Company will use its best efforts to effect the registration under the Securities Act of such Registrable Securities for disposition in accordance with the intended method or methods of disposition stated in such Demand, provided that:

At any time after June 2, 2002, or such earlier time as the Company shall have effected a Public Offering, any Qualifying Holder may demand that the Company use its best efforts to effect the registration under the Securities Act of all or part of such Qualifying Holder's Registrable Securities. Such demand for registration (a "DEMAND FOR REGISTRATION") shall be in writing, delivered to the Company in accordance with SECTION 11(a), and shall specify the number of Registrable Securities to be registered and the intended method of disposition thereof. No later than ten (10) Business Days after receipt of such Demand for Registration, the Company shall give written notice (a "NOTICE OF DEMAND FOR REGISTRATION") of such Demand for Registration to all other Holders, and shall use its best efforts to effect the registration under the Securities Act of:

Demands for Registration. (a) If the Company shall receive, at any time on or after February 16, 1998 or such earlier date on which the Lock-Up terminates under Section 2, a written demand from the Holders of a majority of the Registrable Securities then outstanding that the Company file a registration statement under the Act covering the registration of at least 250,000 shares of the Registrable Securities (such number to be appropriately adjusted for stock splits, stock dividends, recapitalizations and similar events), then the Company shall, subject to the limitations specified in this Agreement, use its best efforts to effect within 90 days of the receipt of such request, the registration under the Act of all Registrable Securities which such Holders have demanded to have registered. Demands for Registration. (i) At any time on or after the issuance of the Notes pursuant to the Note Purchase Agreement, if one or more Holders that own in the aggregate a majority of the Registrable Securities then outstanding shall make a written demand to the Company (the "Demanding Holders"), the Company shall cause there to be filed with the Commission a registration statement meeting the requirements of the Securities Act (a "Demand Registration"), and each Demanding Holder shall be entitled to have included therein (subject to Section 2.6) all or such amount of such Demanding Holder's Registrable Securities, as the Demanding Holder shall request in writing; provided, however, that no request may be made pursuant to this Section 2.1 if within six months prior to the date of such request a Demand Registration pursuant to this Section 2.1 shall have been declared effective by the Commission. Any request made pursuant to this Section 2.1 shall be addressed to the attention of the Secretary of the Company, and shall specify the amount of Registrable Securities to be registered, the intended methods of disposition thereof and that the request is for a Demand Registration pursuant to this Section 2.1(i).
