Description of Business Relationship. Business Associate provides (a) non-emergency medical transportation services, (b) transportation scheduling services to individuals receiving medical treatment from health care providers which are covered entities as defined by HIPAA; (c) para-transit transportation to individuals determined to be eligible by a covered entity as defined by HIPAA; and/or (d) other transportation closely related to the health or condition of individual riders. In connection with the performance of such services, Business Associate will be provided with and have access to Protected Health Information (“PHI”), in oral, written, or electronic form. Business Associate has engaged Subcontractor to assist in the performance of such services for covered entities, or for the administration and management of Business Associate’s operations, and Subcontractor has access to PHI as a result of this engagement. All such PHI will be used by Subcontractor solely in the performance of its obligations under this Addendum in accordance with the terms hereof, and Subcontractor shall limit and regulate all Uses and Disclosures of all such PHI in accordance with the terms of this Addendum.

Description of Business Relationship. Business Associate will provide benefits consulting related to the Plan.   • Termination of Business Relationship If the Optionee's Business Relationship with the Company and all Related Corporations is terminated, other than by reason of death, disability or dissolution as defined in Section 5, no further installments of this option shall become exercisable, and this option shall terminate (and may no longer be exercised) after the passage of 90 days from the date the Business Relationship ceases, but in no event later than the scheduled expiration date. In such a case, the Optionee's only rights hereunder shall be those which are properly exercised before the termination of this option.

  • Business Relationship The relationship between a landlord and tenant is a business relationship. A courteous and businesslike attitude is required from both parties. During the Restricted Period, Employee will not, on Employee’s own behalf or on behalf of any other person or Entity, solicit, contact, call upon, or communicate with any person or entity or any representative of any person or entity who has a business relationship with Company and with whom Employee had contact while employed, if such contact or communication would likely interfere with Company’s business relationships or result in an unfair competitive advantage over Company.

  • Relationship to Plan This Award is subject to all of the terms, conditions and provisions of the Plan and administrative interpretations thereunder, if any, which have been adopted by the Committee thereunder and are in effect on the date hereof. Except as defined or otherwise specifically provided herein, capitalized terms shall have the same meanings ascribed to them under the Plan.

  • At-Will Relationship I understand and acknowledge that my Relationship with the Company is and shall continue to be at-will, as defined under applicable law, meaning that either I or the Company may terminate the Relationship at any time for any reason or no reason, without further obligation or liability.

  • Parties’ Relationship The parties to the Agreement are independent parties. BNY Mellon, in furnishing the Services, is acting as an independent contractor. BNY Mellon has the sole right and obligation to supervise, manage, contract, direct, procure, perform or cause to be performed, all work to be performed by BNY Mellon and its employees, agents, independent contractors and other representatives under the Agreement. At no time shall any such individuals represent himself or herself as an employee of a Fund or be considered an employee of a Fund. BNY Mellon is not a joint venturer with, nor an employee, agent or partner of the Funds and has no authority to represent or bind the Funds as to any matters.
